Company Secretary - Corporate Finance Team - ITeS (7-10 yrs)

Our Client a Leading ITES services provider is looking out for a Company Secretary to join there Corporate Finance Team

Responsibilities

1. Secretarial matters:

a. Organizing the Board Meetings and Shareholder's Meetings

b. Drafting the Minutes of the Meetings and executing the decisions of the Board of Directors in the Company

c. Maintenance of proper and updated secretarial records

2. Statutory Compliances:

a. To track and alert the company about existing and new statutory compliances that needs to be complied to

b. Liasoning with the Regulatory bodies and other external bodies, including consultants, to ensure that all legal and statutory compliances are met

c. To compile, organize necessary information for the documentation and filings required to be made in respect of Statutory Compliances

3. Legal Matters:

a. Draft, vet and finalize legal agreements, non-disclosure agreement, purchase orders, etc.

b. Exposure in international legal practices and terms

c. Handling the legal cases and working as a Company representative on behalf of the Company in the Court of Law

d. Act as a solution provider for legal disputes / queries raised by the Company Officials.

4. Insurance:

a. Arrange and maintain liability and asset policies.

5. RBI Matters:

a. Ensure timely filing of returns etc with RBI

b. Interacting with the Authorized Dealers and RBI, whenever required, in connection with the compliance and operational matters relating to foreign exchange

Qualification, Experience and Skills

1. Qualified Company Secretary with strong legal background with minimum 7 years of post-qualification work experience

2. Good understanding of commercial aspect of the business
