Company Secretary & Compliance Officer - BFS - LLB (6-8 yrs)
Position Title : Company Secretary & Compliance Officer.
Reporting to : Director.
Location : Mumbai.
1. Corporate Secretarial :
a. Companies Act, 2013
b. Norms relating to fresh issues of equity, preference shares and Right Issues for private limited companies.
c. Finalization of agenda and holding of Board meetings and drafting of minutes.
d. Formalities relating to Appointment of Directors and MD and disclosure of interest .
2. Compliances relating to FDI, RBI and SEBI guidelines / requirements :
a. Manage SEBI related compliances relating to Insider Trading, AIF, Investment Advisory etc.
b. Drafting of Company policies /processes / systems in line with the SEBI Regulations and Circulars, NBFC Guidelines.
c. Managing money laundering compliances under PMLA/ RBI/ SEBI.
d. Knowledge of FDI Policy and FEMA requirements.
e. Finalization and Filing of returns with RBI for FDI.
f. Finalization and Filing of returns with RBI for NBFC.
3. Legal : Exposure to legal area is desirable and will be an added advantage.
a. Drafting, vetting and negotiation on Commercial, Licensing, Non-disclosure agreements, Non-circumvention agreements, Legal Documentation, Contracts, Notices, MOUs etc.
a. 6 -8 yrs of experience in Corporate Secretarial and Compliance functions in NBFC, SEBI registered institutions.
a. CS (member of ICSI)
b. Law Graduate
c. Relevant NCFM / NISM Certification
d. Diploma in securities Market (Added advantage)
