Company Secretary - BFSI - LLB/LLM (10-15 yrs)

Job Summary:

The role of a Company secretary is to provide guidance to company directors about how their organizations should be directed, managed or controlled. This is also known as corporate governance and it includes ensuring that the company complies with legal and regulatory requirements.

Roles and Responsibilities

- Convening and servicing annual general meetings (AGMs)/meetings (producing agendas, taking minutes, conveying decisions, handling meeting correspondence and so on)

- Providing legal, financial and/or strategic advice during and outside of meetings

- Training directors and members of the senior leadership team on corporate governance matters

- Keeping up to date with any regulatory or statutory changes and policies that might affect the organization

- Ensuring that policies are up to date and are approved

- Providing support to the board or other committees on specific projects

- Implementing processes or systems to help ensure good management of the organization or compliance with legislation

- Writing reports and collating information

- Analyzing the Memorandum and Article of Association as per company's stand

- Convening and conducting of Board and Annual General Meetings

- Maintenance of all statutory Records and Registers as required under the provisions of and other applicable laws.

- Preparing Notices, Director Report, Resolutions & minutes of AGM, EGM, BM and Committees Meeting.

- Liaisoning with Registrar of Companies Office

- Dealing with Stock Exchange for filing returns and other regular correspondence for a listed Company.

- Demat, transfer and transmission of Shares.

Legal

- Drafting and vetting of various agreements like Lease Agreements, Distributorship Agreements, Service Agreements, Leave and License Agreements, Non disclosure Agreement, Supply agreements, Advertisements agreements, Manpower Contractor, General Purchase Agreements, Human Resource Consultancy Agreements, IT agreements, Service agreements, Transport Agreements, Travel & Tour agreements, Public Relation agreements etc.

- Drafting of other legal documents like POA, affidavits, Indemnity Bond, Letter of Authority, Renewal & Termination Letters etc.

- Liasioning with Consultants/ legal counsels for cases and arbitration proceedings under MRTP Act, Consumer Cases, Labour cases, Negotiable Instrument Act, Code of Civil and Criminal Procedure and property related matters and appearance with them in respective courts.

- Publication of public notices etc on behalf of the company.

- Compliances reporting under various laws like labour laws, Taxation laws from the respective departments.

Specific Education Qualification Required (If any): Master's degree in relevant fields

- CS qualified from ICSI

- Background in Finance, Law or Corporate Governance of 10-15 years

- 2-4 years- experience as a company secretary would be preferred

- Prefer candidates with prior experience in a technology company or companies with Offshore holding structures
