Company Secretary - BFSI (5-7 yrs)

We need to target BFSI companies (Insurance companies, Insurance brokers/agents, Asset Management companies, Portfolio Managers, NBFCs, etc.) having 5-7 years post qualification experience in Secretarial function with preference to person also having exposure to Compliance function, we may look for candidates who is able to join us in 30-45 days.

- CS Membership around 2012;

- Total experience around 7-9 years;

- Reporting to CEO / CFO or CS;

- Preference to a person who has also done LLB and handle legal matters;

- Vetting of Legal contracts/agreements viz. Distribution Agreement, Leave and License Agreement, Contract, engagement letters with vendors, auditors, consultants, banks, Loan/facility Agreements etc.

- Drafting and vetting of Non-Disclosure Agreements (NDAs)

- Drafting of Deed of Adherence (DOA) for transfer/transmission of Units of the Funds

- Drafting and sending notices to developers for default in payments

- Drafting of PMLA Policy, Outsourcing Policy and Conflict of Interest Policy

- Drafting of letters/mails for submitting various intimations to SEBI, Trustee, and Investors

- Assisted in preparation and vetting of documentation viz. Investment Management Agreement, Trust Deed (Indenture of Trust), Private Placement Memorandum, Side letters, waiver letters Investor Form and Contribution Agreement for setting up Private Equity Fund

- Vetting and reviewing Wrapper, Subscription Agreement, Side letters with investors of Offshore funds

- Drafting/Vetting of PMS Agreement, Disclosure Document, Power of Attorney, Co-Investor Agreement for PMS Activity

- Filing application (Online-Offline) with SEBI for registration as AIF Category I and II

- Filing application with SEBI for Surrender of registration of Venture Capital Funds

- Liaison with regulatory authorities, trustee and legal counsels for setting up Private Equity Fund (Category I and Category II AIF)

- Proofreading of PPM, Investor Form cum Contribution Agreement, PMS Investor Form and to liaison with printer for printing the same

- Handling compliance of funds registered as AIFs (category I and II) and VCFs

- Handling compliance of PMS registered entity

- Handling Trustee Compliance related to Funds registered as AIFs and VCFs

- Formation of committees and drafting of letters for the appointment of members of Governance Committee, Investment Committee and Investor Advisory Committee

- Handling FATCA Compliance and annual FATCA filings

- Registration for CKYC, CVL KRA, SCORES and FATCA

- To review Investment Documents for Compliance of CP/CS/Covenants requirements

- Review of Exit/Divestment related Documents

- Keeping and maintaining tracker for Original documents pertaining to investments by Private Equity Funds

- RBI Compliance: Filing of Form InVi with RBI thorough FIRMS

- RBI Compliance: maintaining tracker and collating data for FCGPR/FCTRS/Single Master Form related to offshore fund's investments

- Monitoring SCORES - web for investor complaints and reply to Investors- complaints

- Review of KYC documents of clients as per requirement
