Company: A Private Sector Bank Company Secretary-Mumbai Location:Mumbai Roles and Responsibilities : - Ensuring statutory and regulatory compliances applicable to the Bank - Co-ordination and dissemination of information/data to the internal and external stakeholders - Handling Board and Committee meetings, Annual and Extra Ordinary General Meetings - Managing secretarial audits and inspections conducted by stock exchanges - Drafting Agenda, Resolutions and Minutes etc. - Handled Postal ballot process and all its related compliances. - Ensured all Annual disclosures of all Directors and Key Managerial Personnels of the Bank are in place. - Active participation in preparation of Annual Report of the Bank which includes Notice of AGM, Directors- Report, Corporate Governance Report, Extract of Annual return, Corporate Social Responsibility Report etc. - Active co-ordinator with the all stakeholders of the Bank. - Ensuring all other timely compliances under Companies Act, Secretarial Standards, Listing Regulations, Securities and Exchange Board of India, Reserve Bank of India, Bombay Stock Exchange, National Stock Exchange, Overseas Stock exchanges where Bank has listed its securities.
