A significant majority of these products are generic drugs, capable of being directly injected into the human body, predominantly used in the treatment of critical illnesses.

Job description :

Position Name : GM - Secretarial & Legal

No. of Vacancies : 01

Reporting to : Associate Vice President - Finance

Business Unit : Corporate Office (Ahmedabad)

Business Entity : Claris Injectables Limited (a 100% subsidiary of Claris Lifesciences Limited)

Role :

To handle Secretarial & Legal function of the organization, that requires leading and mentoring a team of Law graduates and Company Secretaries.

Responsibilities :

Legal :

To draft and vet all legal documents including foreign & domestic distribution agreements, memorandum of Understanding, joint venture agreements, share subscription agreements, commercial contracts, shareholder agreements, leave and license agreements, lease deeds, power of attorney, affidavits, undertaking, indemnity bonds, service agreements, non-disclosure agreement and employment contracts.

- To draft legal notices, termination letters and their representations before statutory & regulatory authorities.

- To handle and vet civil applications, rejoinders, intervention applications, affidavits, reply to affidavits, for civil suit filed at the High Court.

- To handle commercial and international dispute assignments.

- To serve as a liaison with distributors, attorneys like ELP, Trilegal government officials etc.

- To maintain database relating to renewal, expiry, conditions precedent/subsequent and other terms & conditions of the various agreements executed by the company.

Secretarial :

- To adhere the SEBI Insider Trading Regulations and policy framed by the company.

- To handle the consolidation of promoters holding under the SEBI (takeover) Code and disclosures thereof to the Stock Exchanges.

- To format and handle various sub-committee like audit committee, nomination & remuneration committee, stakeholder's committee, risk management committee, CSR committee and their meetings thereof.

- To frame various policies like insider trading policy, risk management policy and code of conduct for the company.

- To transfer of unpaid dividend to Investor Education and Protection Fund.

- To prepare & file the return of deposit.

- To prepare & frame ESOP scheme.

- To draft notices, Director's Report, Management Discussion and Analysis, corporate governance report, balance sheet abstracts of holding as well as group/subsidiary companies along with chairman's speech, list of questionnaires, Annual General Meeting Pack, etc., and prepare design outlay of Annual Report and conduct the Annual General Meeting.

- To preparation of minutes for board meetings, general meetings and various committee meetings.

- To handle the matters/queries of Registrar of Companies (ROC).

- To application &get approval from the Registrar of Companies for extension of Annual General Meeting under section 166 of the Companies Act, 1956.

- To prepare and file various forms under the Companies Act, 1956 and 2013.

- To remain abreast about the knowledge of Bombay, Gujarat, M.P. Stamp Acts, various facets of the Property Act and Land Ceiling Act, etc.

- To apply for procuring Industrial Entrepreneurs Memorandum (IEM) licenses for the company's operations at various locations with DIPP, SIA, New Delhi.

Compliance :

- To comply under various clauses of the listing agreement of BSE/NSE, which include quarterly, half yearly and annual compliance.

- To report information in a timely manner to SEBI and other nodal authorities.

- To update Director's database, NEAPS, SCORES, etc.

- To maintain and manage content outlay for the company's website.

- To maintain of statutory registers and records.

Desired Candidate Profile :

Experience : 11 - 13 years of relevant experience in handing Legal & Secretarial working manufacturing industry (preferably in Pharmaceutical/ Chemicals MNC).

Functional Expertise : Candidate should have:

- Excellent knowledge of Legal & Secretarial compliances, regulatory, intellectual property laws & compliance.

- Expertise in contracts & agreements drafting, vetting, licensing, risk analysis, litigation and legal affairs.

- Excellent knowledge of various acts & constitutional abiding, related to legal & secretarial matters.

Educational Qualifications : LLB & CS (Mandatory) | ICWAI will be an added advantage.

Personal Attributes - Candidate should :

- Be articulate and have attention to detail.

- Have excellent written, communication and networking skills.

- Have excellent team management skills, working with cross functional team and providing support to internal stakeholders.
