Cipla - Lead - Mergers & Acquisitions (4-6 yrs)

Job Purpose

In the last few years, Cipla has executed inorganic deals of more than $1bn. To fulfil our aggressive 2022 strategic objectives, we look forward to identify and execute further inorganic opportunities in our chosen markets, therapies and capabilities. The incumbent will - own- few areas and coordinate all deals in that area (e.g. Emerging Markets). Evaluate and execute inorganic opportunities across geographies by managing internal and external teams to ensure effective and timely closure of mergers and acquisitions deals and thereby help Cipla achieve growth in key markets

Reports to: Head - Mergers & Acquisitions

Key Accountabilities

I. Develop inorganic strategies, opportunities and investment leads across geographies in order to build scale in existing markets and create market entry strategies in new territories

- Work closely with business heads to understand and evaluate inorganic growth strategies for their markets

- Define a specific investment approach for a targeted market such as company acquisitions, joint ventures, brand purchases or divestments

- Liaise with investment bankers, consultants and business partners to generate and source actionable leads

II. Propose shortlisted investment opportunities to the Cipla management team, management council and board of directors in order to obtain investment approval

- Evaluate identified opportunities by analysing potential synergies, complementary strengths and overall fit with the company's needs

- Build detailed financial models in order to accurately gauge the valuation scenarios and risks of the investment

- Pitch findings to various levels of Cipla management in order to generate interest and approval for the deal

- Ensure all compliance and secretarial approvals are met as per SEBI guidelines when executing a deal by working with Cipla's company secretarial team and external compliance advisors.

III. Conduct cross functional due diligence on identified opportunities in order to ensure the assets under evaluation are compliant and generate sufficient value for the company

- Identify and engage with external due diligence advisors across finance, tax, legal, regulatory, HR and other functions

- Work with internal teams to review and guide external advisors into effectively conducting diligence

- Evaluate potential risks and opportunities that may arise from the investment and inform management accordingly

IV. Negotiate and structure transaction documents working closely with the internal and external legal teams in order to efficiently execute a deal

- Support internal and external legal teams in structuring definitive agreements

- Work with financial advisors in order to structure deals in a compliant and tax efficient manner

- Negotiate deal documents with the counterparty

- Build investment financing and funding strategies along with the treasure departments

- Ensure timely execution and closure of deals by managing transaction completion activities to meet project deadlines.

V. Project manage cross functional teams in order to successfully integrate the acquired assets within the company and create synergies that add value to the organization

- Create 100 day integration plans in order to ensure that signed deals and funded, closed and launched on time

- Work closely with cross functional teams across legal, finance, tax, HR, marketing, business, manufacturing, supply chain, R&D, and regulatory as part of the integration management office

- Monitor and track on ground activity post deal closure so that financial and operational targets that were committed are met

Educational qualifications: MBA (Finance) / CA

Relevant experience: 2-5 years of - relevant- experience (mergers and acquisitions, corporate finance, private equity and strategy)
