Chief Manager - Legal & Compliance - Real Estate

Note- Only those candidates apply for this position who is having experience Private Equity Fund (Real estate fund or Alternative investment fund background)

TO LEAD THE LEGAL FUNCTION

- Lead the Legal function of the Real Estate Investment Advisory Team

- Finalising best possible structures for the onshore and offshore funds

- Incorporating domestic fund under AIF, PMS or such other routes available

- Incorporating offshore fund domiciled in offshore market with the best possible structure

- Drafting, vetting and reviewing offshore and domestic fund incorporation documents

- Drafting, vetting and reviewing Term Sheets, Shareholders Agreement, Share Subscription Agreement, Debenture Trust Deed, Escrow Agreement, Security creation agreements and exit agreements

- Ensuring Investment structures are as per the provisions of the applicable law and fund incorporation documents

- To facilitate initiation/defending of a legal proceeding by or against the Fund

- To design litigation strategy from time to time and upraise the top management about the same

- Attend all the litigation proceedings by or against the funds

- Update from time to time regarding legal protections available under fund incorporation documents and investment agreements and suggest the way forward for the team

- Vetting, expressing opinion and suggest changes on various Due Diligence Reports for proposed Investment proposals and ensuring outcome to be incorporated in the definitive agreements

- Updating all the Team members with respect to change in law affecting the sector from time to time

OPERATIONAL COMPLIANCE

- Compliance with applicable SEBI Regulations, terms and conditions of Fund Incorporation Documents

- Periodic and timely filing of reports with SEBI, Trustee of the Fund and internal AMC reporting requirements

- Arrange and co-ordinate with Members of Investment Committee meeting

- Preparing Agenda, support documents, drafting minutes of the Investment Committee meeting

- Drafting and circulating Circular Resolution to Investment Committee members as and when required

- Seeking approvals from Trustee for Investment, Divestment, Distribution, Drawdown, and Re-instating of Suspended units of Defaulting Investors

- Designing the various process and drafting the various policy for the domestic as well as offshore funds

- Providing support in Audit (internal and Statutory) of Fund and Investee Companies

- Keeping all the original transaction documents in safekeeping with Custodian
