Chief Manager/AVP/VP - Corporate Legal

- We are looking to hire 2 people at Chief Manager/AVP & VP level to be based at Delhi & Kolkata for one our client. We are open to hire candidates from Law firm, Consulting firms, Infrastructure sector & from Financial Sector.

- Good exposure in Project Finance/Infra finance related transaction involving drafting and finalization of documents.

- Conducted Legal Due Diligence on Companies for various transactions, identifying legal issues and risk associated with the transaction and suggesting ways to mitigate such legal risk.

- Handling the entire Legal operations for both Litigation & Corporate Legal cases including.

- Good exp in M& A, Deals - Legal Documentation, Wholesale Lending Finance and exp in NCLT also.

- Drafting and vetting of various contracts and agreements related to commercial; distribution; consumer; real estate; loan transaction

- Providing proactive legal support on a wide range of activities in all areas of the business.

- Handling regulatory authorities and advising the company on applicable laws and ensuring regular compliance

- Skilled in handling issues for drafting various legal documents and representing the company before courts, tribunals and regulatory authorities, resourceful in handling day to day legal matters including liaison with external counsel for numerous court cases.

- Advising the Advocates, Legal Firms, Solicitors on behalf of the Company

- Advised debenture holders on rollover of non-convertible debentures due to default in the redemption of such non-convertible debentures.

- Advised lenders in reviewing master restructuring agreement, security corporate and personal guarantees, trust and retention account agreement in relation to corporate debt restructuring

- Liaise with business on a regular basis as to the action required to be taken in the S- 138 matters follow up required for ensuring the compliance requirement of the documentation

- Drafting Of various notices, assisting the corporate legal term in documentation and execution of the documents. Coordination with the operation team.
