Executive Management:

- Plans, develops, organizes, implements, directs and evaluates the Company's fiscal functions from every relevant perspective.

- Act a business partner to the CEO to guide and build value in the company.

- Serve as a member of executive leadership team on planning and policy-making committees.

- Develops and advises on business development and strategic planning.

- Evaluates and advises on the impact of long-range planning, introduction of new programs/ strategies and regulatory interactions.

- Enhances and/or develops, implements and enforces policies and procedures of the organization by way of systems that will improve the overall operation and effectiveness of the Company.

- Interprets operating results as they affect the financial aspects of the organization and makes specific recommendations for cost reduction and/or profit improvement.

- Participate in key decisions pertaining to strategic initiatives, operating model and operational execution.

- Manage strategic planning initiatives and oversee Accounting, Human Resources, Operations and IT.

- Performs other financial-related duties as required.

- Supervise Accounting department.

Mergers and Acquisitions:

- Oversee financial elements of strategic partnership and/or Merger and Acquisition efforts.

- Supervise acquisition due diligence and negotiate acquisitions

- Assist in due diligence and post-acquisition integration for add-on investments

Accounting:

- In the CFO role, this individual will direct and have responsibility for the organization's accounting practices, the maintenance of its fiscal records, the preparation, promotion and interpretation of financial reports for management and external groups.

- Develops accounting policies to comply with generally accepted accounting principles, tax requirements, and management reporting requirements.

- Exercises accounting control to insure that budgeted expenditures do not exceed amounts authorized without proper approval.

- Manages budgeting and long term financial planning process.

- The CFO will direct and have overall responsibility to establish policies and procedures for internal controls, forecast, financial reporting, and budgetary controls.

- Generates timely and accurate financial and management reports on a consistent basis.

- Oversee preparation of month-end, quarter-end and year-end financial statements.

- Oversee the preparation and timely filing of all local, state and federal tax returns.

- Review all month-end closing activities including general ledger maintenance, balance sheet reconciliations and corporate/overhead cost allocation and monthly inventory.

- Serve as final point of escalation for Accounts Receivable/Accounts Payable issues

- Serve as a key point of contact for external auditors; Manage preparation and support of all external audits.

- Review control costs including review of any cost sheets and cost accounting records.

- Signs tax returns, checks, and other documents assigned by the CEO.

- Manages and supervises financial accounting, tax and compliance departments located in company with overall responsibility for hiring, promoting, disciplining, or terminating employees.

- Ensures compliance with all tax reporting requirements including income tax, franchise tax, sales tax, and employment taxes.

Financial Management:

- Oversee the financial operations of subsidiary companies and foreign operations

- Coordinate the preparation of financial statements, financial reports, special analyses and information reports.

- Provides timely, accurate analysis of budgets and financial reports to assist the CEO and other executives with their responsibilities.

- Assess and evaluate financial performance of organization with regard to long term operational goals, budgets and forecasts.

- Provides strategic financial input and leadership on decision-making issues affecting the Company (i.e., growth, new markets, and evaluation of potential alliances, employee benefits, retirement plans, and investments).

- Prepare and present monthly financial budgeting reports; monthly profit and loss by division, forecast vs. budget by division and weekly cash flow by division.

- Develop and maintain monthly operating budget and annual company operating budget.

- Develop and manage the capital request and budgeting processes

- Assist in formulating the company's future direction and supporting tactical initiatives

- Develop performance measures that support the company's strategic direction

- Identify, acquire and implement systems to provide critical financial and operational information.

- Create and establish yearly financial objectives that align with the company's plan for growth and expansion.

- Develop reports and present to management to make decisions for effective controls within the business.

- Implement policies, procedures and processes as deemed appropriate by senior leadership team.

- Manage cash flow planning process and ensure funds availability.

- Explore new investment opportunities and provide recommendations on potential returns and risks.

- Complete analysis of financial results; Develop recommendations (strategic and tactical).

- Develop and execute analysis of various business initiatives (e.g., opening new operations, asset acquisition, new service launches).

- Assist in development of financial planning and analysis exercises/reports

- Develop a plan and time table schedule for items not completed at the end of a three month period.

- Develops an adequate plan for backup and succession of management and other key personnel.

- Prepare a fixed asset schedule and compare with insurance policy coverage and DMV registrations if applicable.

- Personally review and approve all Form 8-K, 10-K, and 10-Q filings with the Securities and Exchange Commission

Compliance and Risk Management:

- Understand and mitigate key elements of the company's risk profile

- Monitor all open legal issues involving the company, and legal issues affecting the industry

- Construct and monitor reliable control systems

- Maintain appropriate insurance coverage

- Ensure that the company complies with all legal and regulatory requirements

- Ensure that record keeping meets the requirements of auditors and government agencies

- Report risk issues to the audit committee of the board of directors

- Maintain relations with external auditors and investigate their findings and recommendations

- Resolves any outstanding issues, fines or violations in the last two years.

- Prepare a Tax and Special Items Calendar of tax payment and form due dates including all necessary documents.

- Determine regulatory reporting responsibilities and oversee Tax administration and government reporting.

- Ensures that the company's financial management principles, policies, and programs are consistently practiced while improving the effectiveness of these practices.

Transactions:

- Oversee the company's transaction processing systems

- Advise the Controller to ensure the accuracy of the movement of the inventory from purchase to consumption to COGS and report to the CEO any significant unfavorable variances.

- Oversee the year-end physical and reconciliation.

- Oversight of loan agreements, covenants and interaction with the lenders to maintain a relationship with them.

- Forecast short-long-range cash requirements obligations and working capital requirements, investment and funding sources, profit, loss and cash flow from contemplated activities including pricing decisions and capacity utilization.

Funding:

- Monitor cash balances and cash forecasts

- Arrange for debt and equity financing

- Invest funds

- Invest pension funds

Cash Management:

- Oversee weekly cash management; Approve weekly payables; Execute check signing

- Oversee AR management and provide support to collections activities

- Oversee cash, investments and asset management area.

- Oversee weekly cash management

- Oversee AP Department, approve large payables, sign checks, and authorize large wires and ACHs

- Develops reliable global cash flow projection process and reporting mechanism that includes minimum cash threshold to meet operating needs of the Company.

- Continually improves the timeliness and accuracy of the Company's cash flow and management of the billing and collections process and month end, quarterly and year end closings

- Optimizes the management of bank and deposit relationships and initiates appropriate strategies to enhance the Company's cash position on a broad overall basis and manage cash flow investment risk and yields.

Financial Relations and Policies:

- Manage the accounting, human resources, investor relations, legal, tax, and treasury departments

- Manage any third parties to which functions have been outsourced

- Maintain outstanding banking relationships and strategic alliances with vendors and business partners.

- Represent company to banks, financial partners, institutions, investors, public auditors and officials.

- Prepare various analyses and reports required by corporate development efforts

- Oversee employee benefit plans, with particular emphasis on maximizing a cost-effective benefits package

- Oversees risk and Corporate insurance requirements.

- Manage the company's real estate affairs consisting of leases and sub-leases with various landlords; Negotiate new leases or lease renewals; Coordinate with real estate counsel

- Manage the company's legal affairs in the areas of cargo claims, bankruptcies and other small claims matters

- Remain current on audit best practices; and state, federal and local law regarding company operations.

- Participate in conference calls with the investment community and lenders

- Coordinates with appropriate legal counsel relating to financial and corporate governance compliance and risk assessment matters.

- Recommend and manage Company relationship with outside financial consultants.

Additional Accountabilities:

- Determine if any new projects, major hiring, expansion or equipment purchases are planned for the next year.

- Awareness of economic conditions that might affect business operations and bring to management's attention.

- Recommends and implements state-of-the-art techniques to improve productivity, increase efficiencies and cut costs.

Travel:

- Will work in an office environment. Extensive travel to company subsidiaries will be necessary, as well as for investor road shows.

EDUCATION and CERTIFICATIONS:

- An undergraduate degree in accounting, finance, and/or business administration is required.

- A master's degree in accounting, finance or MBA, and minimum of 10 years of experience in a finance or accounting function.

- An active CPA license required.
