Sr.Manager/Associate Director-Compliances - Responsible for all secretarial matters relating to the company under the Companies Act, 2013 and compliances with applicable secretarial standards issued by ICSI. - Responsible for all applicable compliances, reporting to RBI, ROC and other regulators. Managing overseas subsidiaries and their compliances. - Responsible for FEMA compliances i.e ODI, FCGPR, FLA, APR filings and Downward Investment reporting with RBI. - Ensuring that the company complies with the highest standards of corporate governance. - Executing/monitoring all secretarial activities in Fund Raising from PE investors, handling Due diligence in respect to fund raise. Regular dealing and communication with Investors. - Preparation of Circular Resolutions, Notice/Agendas, Minutes of Board Meetings & General Meetings and annual reports. - Ensuring ESOPs management and taking corporate approvals for grant/exercise of ESOPs. - Maintenance of statutory registers and records of the Company. - Implementation of well-defined standardized Compliance processes. - Managing complete IPR portfolio of Company including Trademarks and Copyrights. - End to end compliance with respect to local laws, labour laws and regulations including S&E registrations. - Supporting statutory auditors and Internal Auditors for compliance/Secretarial audit. - Work effectively with the local companies, clients, stakeholders, Investors and Group Companies. - Prepare and file statutory documents with the Regulators (ROC, RBI, IRDAI and TRAI). Candidate Profile : Essential Requirements (Knowledge, Skills, Abilities) : 1. Well abreast with Company Law, FEMA, RBI regulations applicable to Foreign and NBFC Company, drafting of documents and regulations as prescribed by RBI, IRDAI regulations applicable to Insurance Broking Company. 2. Demonstrate ability to independently draft compliance checklists, legal documents, manuals and other regulatory documentation. 3. Excellent communication skills (both verbal and written).
