Belrise Industries - Head - Legal & Company Secretary (15-20 yrs)

Job Responsibilities :


- Develop Corporate Governance practices for the company and supervise the implementation of the same


- Handling all the Company Secretarial responsibilities under the Companies Act, 2013, RBI, FEMA and Rules, Regulations and Standards made there under and other applicable Corporate Laws, POSH compliances, organizing Board of Directors and committee meetings, shareholders' meetings


- Monitor the statutory reporting process to ensure timely submission of the required information and compliance with the relevant rules and regulations


- Drafting, reviewing and finalizing of various corporate contracts, memorandum of understandings, CSR projects legal documentation and due diligence, engagement letters, etc., drafting responses to various letters, legal notices etc., development / review of policies from a legal perspective and other legal activities as may be assigned from time to time


- Interaction with Regulators, Public Officials - State & Central Government (Ministry of Commerce), State Government Officials, Industries Secretary, District Collector and interaction with the Ministers of the State Government based on business needs in an ethical manner contract development time and potential legal risks


- Monitor the process of obtaining regulatory approval for the new products and take corrective action of any short-comings are identified


- Handling IPO program and initiated IPO process in previous experiences


- Conduct periodic audits within the company to identify legal and compliance issues and Conducting Legal Due Diligence, JVs, M & A, Acquisitions, Capital Restructuring including


- Develop the legal function as the single point of contact for all legal matters and ensure that legal queries are resolved within the desired timeframe


- Continuously oversee and monitor status of dispute settlements / litigation cases and provide updates to the concerned department


- Ensure issuance of periodic reports on changes in the legislation and laws, their implications and recommendations to safeguard against legal violations


- Convene meetings of Board of Directors, shareholders, drafting of Board/Committee Agenda minutes


- Representing on behalf of the Company at various statutory authorities like MCA/ROC, RBI and applicable regulatory bodies as required


- Co-ordinate with external counsels to file and defend cases, follow up pertaining to litigation by and against the Company


- Manage legal department providing assurance that all commercial contracts, property contracts and transfers are legally sound.


- Monitor for changes in relevant legislation and regulatory environment and formulate the appropriate action steps to manage the same
