AU Small Finance Bank - Senior Manager - Secretarial/Stock Exchanges & RBI Compliance (6-10 yrs)
Job Summary: This job is required for the efficient management of the Secretarial, Stock Exchanges and RBI compliance. The person will be responsible for managing the activities pertaining to secretarial, listing guidelines and RBI Compliance which are applicable for a systemically important NBFC.
Account abilities:
1. Secretarial:
- Handling of Stock Exchanges Compliance
- Ability to Interpret the SEBI, Company Law amendment and making presentation on SEBI Amendments
- Must keep abreast with the latest regulatory changes/ requirements and adhere to such requirements
- Interaction with Internal and Statutory Auditors
- Interaction with regulators on a day to day basis and handling of queries of regulators in a timely manner
- Drafting of agenda for Board Meetings, notice and explanatory statements of General meetings, circular resolutions
- Preparation of Details, Data submission to RBI
- Drafting of minutes of Board and Committee meetings (Audit, Remuneration, ALM, Fit & proper, Corporate Governance)
- Compliance of all company related laws such as Companies Act, 2013 and all other allied laws that may be applicable to the Company
- Issue of securities, etc. as per the provisions of the Companies Act, 2013
- Preparation and maintenance of statutory registers
- Any other compliance activities based on the regulatory requirements
- Must be conversant with e-filing and in handling the website of the Ministry of Corporate Affairs
