Location : Mumbai.
1. Expertise in re-structuring assignments such as forming joint ventures, special purpose vehicles, acquisition of listed / unlisted companies, mergers & amalgamations, consolidation of operations, incorporation of new companies, creation of LLPs and other related activities in the company.
2. Experience at handling special assignments such as deal structuring, private placements, rights offer, preference share, debentures.
3. Performing advisory functions in-depth knowledge of company law,commercial law ability to interpret legal issues.
4. Drafting and vetting of business agreements, shareholders- agreement, joint venture agreement.
5. Assist overseas company in setting up its joint venture with an Indian partner. The assignment involved drafting and negotiation of the joint venture agreement, technology license agreement, loan agreement and key employee agreements.
6. End to end legal due diligence report preparation
