JOB PURPOSE (Briefly describe the general purpose of the position or its significance from the organization's point of view and how it contributes to the overall mission/objective of the organization). Business Context: CLP India is a wholly owned subsidiary of CLP Holdings. CLP Holdings, headquartered in Hong Kong, is a leading investor-operator in energy space in the Asia Pacific region. As of 2017, CLP India has a diversified and environment-friendly power generation portfolio of 3000 equity MW comprising both Conventional (~2000 MW) and Renewable (~1000 MW) assets. The legal function is essentially a small law firm within the organization and works as a solution provider and strategic advisory across all of CLP India- 's businesses and locations. It provides legal and strategic advice and identifies, evaluates and mitigates legal risks faced by CLP India with the objective of ensuring compliance to all statutory, legal and regulatory requirements. Further, this function proactively looks at opportunities for risk reduction or commercial maximization within the limits of CLP Group policies. Job Purpose: Provide continuous legal support in terms of project documentation with the objective of enabling the realization of the project within the limits of CLP values and ethics as well as prevailing regulations, laws and policy frameworks. 2. Accountabilities Major Activities % of Time The role of the associate legal counsel is a junior level role and the accountabilities will be broad based. The associate legal counsel will be expected to assist in matters ranging across financing, compliances, project documentation and general transaction management to ensure compliance with CLP's standards. - work internally with other functions such as Finance, Tax, Human Resources, Procurement, Corporate Services, Compliance and Risk, and site based project teams to ensure appropriate and timely delivery of integrated legal services; - assist with advising on proposed transaction structures; - preparing and managing regulatory updates for the legal team; - reviewing and updating standard templates; - point of contact for document management of the legal team; - transaction management. Advising on legal aspects of prospective financing transactions, assisting in reviewing, negotiating and finalising contracts and other documents, liaising with external counsel and internal teams. - assisting with legal due diligence and general research; - assisting with review and finalisation of contracts and other documents; - coordinating between banks and the lender- 's &amp; borrower- 's counsels; and - transaction management. Advising on legal aspects of prospective projects, conducting legal due diligence, reviewing, negotiating and finalising contracts and other documents, liaising with external counsel and internal teams. - assisting with legal due diligence and general research; - assisting with review and finalisation of contracts and other documents; - document and transaction management, including managing the requisition process. 3. SKILLS AND KNOWLEDGE (State the minimum acceptable proficiency for this job which best indicates the education and/or experience requirements of this job and not the incumbent). Educational Qualifications - Minimum Qualification: LLB Functional Skills - Excellent academic record; - basic knowledge of Indian laws relating to the energy/power industry and FEMA related issues; - basic drafting experience; - ability to work under pressure and deliver under tight timelines; - must have common sense approach to legal issues; - functional understanding of and experience in the power sector would be preferred; and - Strong oral and written communication skills; excellent judgment; high standards of ethics, honesty and integrity.
