Company Secretary (Associate Director) LOCATION - Bangalore QUALIFICATION - ACS, MASTERS OR GRADUATE OF LAW FROM REPUTED UNIVERSITY ROLE: - Corporate Secretarial Functions for Indian and overseas entities, Corporate Governance, Taxation and Finance functions, amalgamations and mergers. - Should possess demonstrated ability and technical competency to perform and/or supervise the execution of the following tasks: Corporate Secretarial - Conducting AGM/EGM, Board and committee Meetings as required under Companies Act involving issuance of notices, drafting agenda, recording minutes and preparing requisite reports/corporate governance reports. - Preparation &amp; Filing of Annual Returns, Annual Reports and various statutory forms from time to time with Registrar of Companies. - Preparation, reporting &amp; filing of requisite documents/applications/forms with Regulatory Bodies for varied corporate actions - Liaising with the consultants, auditors stakeholders with respect to the daily corporate affairs for the group companies. - Custodian for the regulatory records and responsible for disseminating queries/information as received from the regulators to the concerned functions/stakeholders. - Updating and tracking the compliances for the concerned Legal Entities on the intranet legal &amp; compliance portals - Tracking regulatory compliances and placing periodical update to the Board - Handling merger of legal entities as part of the internal restructuring process - Handling corporate compliances for the labour law trusts. Documentation :&nbsp; - Drafting and recording minutes of various meetings and also maintaining statutory registers under various provisions of the Companies Act - Creating reports for the perusal of the Board of Directors in respect of various provisions of the Companies Act and briefing about the procedural formalities to be complied therein. - Drafting of documents, notes, letters, pitches per the requirement of the Regulatory bodies, in-house functions/teams/management or Consultants ATTRIBUTES:&nbsp; 1. Ability to work effectively and collaboratively as part of a senior management team.
