ASSOCIATE / ASSISTANT MANAGER - LEGAL & COMPLIANCE

JOB INTENT:

This position is responsible for the due diligence, screening of documents, search and statutory compliances to mitigate possible risks. Ensuring compliance with Companies Act and corporate governance norms through proper reporting and filing of information, while also handling queries from internal departments

Job description:

- Drafting of various agreements including lease, leave & license, manpower contracts, outsourcing agreements, Mutual Fund distribution agreements, Memorandum of Understanding, etc.

- Identifying legal and commercial risk in any contract and proposing the changes required to mitigate the risk.

- Review and advise management on legal implications of internal policies and procedures.

- Understand and Drafting of Various letters, legal documents, notices, Prospectus

- Vetting of Documents and Agreements.

- Providing with opinions on various provisions of laws.

- Liaison with relevant department to ensure that where legal risks have been identified and appropriate course of action has been taken.

- Liaison with external legal counsel for legal matters on recovery, civil and/or criminal litigations.

- Handling functions pertaining to various legal and statutory matters like preparation of replies of the complaints filed by other parties; attending the legal proceedings of the cases such as civil, criminal, consumer cases, etc. Also, preparing brief for Lawyers in the matter of civil & criminal suits.

- Appointing and maintaining sustained contact with legal professionals for initiating and following up on legal procedures.

- Responsible to manage any other non-litigation legal work and advising the Organization on various legal issues.

- Managing and undertaking legal research as required.

- Thorough understanding of Mutual Fund regulations and remain abreast of the status of all compliance activities and to identify trends

- Advising on good governance practices and compliance of Corporate Governance norms.

- Ability to cope with high level of responsibility in confidential matters.

Job Specifications:

- Experience of minimum 2 to 3 years in the Legal Department of BFSI companies.

- Minimum qualification: Law Graduate from a recognized University (3 year/5 year course)

- Thorough understanding of legal nuances of mutual fund operations, taxation and litigations is preferred

- Knowledge of legal terminology and principles relevant to Commercial contracts.

- Eye for Detail

- In-depth knowledge of regulatory law.
