A Credit arm of a Global Investment Firm is seeking to hire an Assistant Manager handling Secretarial & Compliance.
Company Secretary with 3 - 4 years of experience in in secretarial and compliance function with thorough knowledge of corporate laws, regulations with respect to RBI.
Responsibilities:
- Ensuring compliance with statutory and regulatory requirements under the Companies Act 2013 and various regulations applicable under Reserve Bank of India Master Directions applicable to NBFC
- Responsible for secretarial and corporate compliances such as preparations of the Board/ Committees/General meetings - Notices, agenda, minutes, physical arrangements, etc.
- Responsible for drafting of annual reports, filing of annual returns with ROC/ MCA and RBI
- Responsible for compliances with respect to exchange in accordance with Securities and Exchange Board of India (Listing Obligations and Disclosure requirements) Regulations 2015
- Maintaining records, statutory filings, other secretarial compliances and such other activities delegated from time to time
- Drafting and implementation of various Board level policies required either under Companies Act, or as prescribed by RBI;
- Responsible for maintaining statutory registers of the Company as required under Companies Act
- Deal with correspondence, collate information and write reports, ensuring decisions made are communicated to the relevant Company stakeholders
- Keep track of and disseminate updates on regulatory and other statutory requirements on an ongoing basis to prevent violations thereof.
- Handling entire gamut of RBI compliances including handling of inspection by regulators
- Liaise with internal and external auditors for internal audits / statutory audit etc.
- Formulating and implementing Compliance Framework and ensure compliance with the statutory provisions and improve compliance levels
