Assistant Manager - Company Secretary (CS)

About the Role:We are looking for a proactive and detail-oriented Assistant Manager - Company Secretary (CS) to manage end-to-end secretarial and regulatory compliance for our private limited company.
The ideal candidate should have experience independently handling board communications, ROC filings, and other corporate governance matters.
This role offers an opportunity to be a strategic partner in driving compliance, supporting business structuring, and managing regulatory risks.
Key Responsibilities:- Prepare and maintain statutory records including Board Resolutions, Meeting Minutes, Notices, and all other standard secretarial documents.
- Independently manage Board Meetings, AGM/EGM proceedings, and investor communication with a high level of accuracy and confidentiality.
- Handle ROC filings, ensure timely statutory compliances, and support secretarial audits.
- Draft and review various legal and business documents such as:
- Takeover Agreements
- Franchisee Contracts
- Business Restructuring Agreements
- NCLT Petitions under the Companies Act
- Oversee annual filing requirements, documentation, and secretarial activities related to:
- Issue and Transfer of Shares
- Increase in Authorized Share Capital
- Charge Creation, Modification, and Satisfaction
- Manage FEMA compliance: Filing of ECB, FC-GPR, and other RBI-related formalities.
- Provide support in areas related to DGFT, Labour Laws, GST, PF, and ESIC.
- Handle business licensing and registration processes across different states as required.
- Stay up to date with evolving regulations affecting private companies and ensure the business is fully compliant.
Skills and Qualifications:- Qualified Company Secretary (CS) with 3+ years of relevant experience in a private limited company setup.
- Strong knowledge of Companies Act, ROC filing procedures, FEMA, and NCLT practices.
- Excellent legal drafting, analytical, and interpersonal skills.
- Hands-on experience in compliance tools and proficiency in MS Office Suite.
- Familiarity with DGFT, GST filings, and labour law registrations.
- Candidates from Agri, Retail, or E-commerce industries will be preferred.
