Assistant General Manager - Legal - Manufacturing (15-18 yrs)

We are looking for the position of AGM legal for a listed manufacturing company. Incumbent with experience and knowledge of banking laws /corporate laws, prior experience in managing external commercial borrowing related legal exposure would suit the requirement

KRA is as below :

1. Drafting and /or negotiating agreements, Lease and License Agreements, Rent Agreements, Sale/Purchase agreements, Vetting commercial terms, Long term contracts/Supply agreements, Consulting /Contracting Assignment and agreements

2. Company Secretarial

- Drafting Agenda, Meeting, Notices of Board

- Dealing with Regulatory and compliance issues with ROC/SEBI

- Secretarial Audit

- Corporate Governance

3. Handing Litigation

- Engaging with external councils

- Preparing brief of case

- Appearing/Attending court hearing

- Drafting notices, affidavits, petitions, written statements

4. Compliance

- Looking after all statutory / regulatory compliances of company /group

5. Good knowledge of banking law and corporate law, exposure to manage external commercial borrowing would be an advantage

Qualification- Graduate from good college with Law Degree (regular course)

Age - 37 to 45 years

Skill Sets :

- Good drafting skills and oratorical skills

- Excellent communication and interpersonal skills

- Sound knowledge of various acts applicable to industry - Contract act, Banking act, Inccome Tax act, Company law, Insurance act.

- Well Established contact with Legal Fraternity

- Good ability to comprehend situation in small time frame
