Assistant General Counsel - M&A & BD - Branded Market - Pharma - LLB (10-20 yrs)

The Role

The Company is seeking an Assistant General Counsel M&A and BD for Branded Market who has significant experience in complex mergers and acquisitions (M&A) to join a high-paced, dynamic and engaged Global Legal & Compliance (GLC) team of the Company. As part of the GLC team and trusted advisor, the candidate will provide legal guidance and counselling, both strategic and tactical, to all areas of the Company. This is an opportunity to lead large, complex M&A and BD transactions from beginning to end.

The candidate will be responsible for drafting and negotiating M&A transaction documents, with emphasis on complex arrangements, including asset purchase, merger, strategic affiliation, joint venture and partnership, financing and credit, internal reorganization of service lines and operations, Licensing and related documents such as confidentiality, non-disclosure, and stock purchase agreements. Experience with entity formation, corporate finance, health care organizations.

Key Responsibilities:

The Counsel will work on a broad mix of M&A transactions, divestments, joint ventures, Licensing, etc. Most of the work will have an international dimension and will range from larger scale, complex cross border transactions to smaller deals which provide greater leadership responsibility.

The role will assume the following key responsibilities:

- Provide proactive legal services, supporting the Branded Market (India, APac, MENA, Russia, CIS countries, Romania, and LatAm) region in M&A legal matters including in relation to business strategy, performance and risk management.

- Working on a wide variety of complex M&A transactions, with responsibility for progressing key legal workstreams, including being responsible for liaising with key stakeholders such as Corporate Development, Company Secretarial, Legal HR, Finance, Treasury, HR, Property and Insurance, as well as external stakeholders such as external counsel, accountants, corporate financiers, investment banking and corporate broking.

- Supporting on full scale pan-regional acquisitions and divestments of existing businesses, new ventures and a variety of joint ventures, principally across the India, APac, MENA, Russia, CIS countries, Romania, and LatAm region and providing co-ordination and support on global licensing transactions.

- Front-line management of deals, including drafting and negotiating the key transactional documents, control of due diligence, advising on anti-trust issues, disclosure exercises and closings, managing projects to a budget, and taking responsibility for stakeholders satisfaction

- Supporting the Corporate M&A and Business Development department in drafting definitive transaction documents and various other acquisition-related documents (confidentiality agreements, engagement letters, indications of interest, letters of intent, etc.).

- Lead M&A deals from legal perspective, providing leadership and/or support for all elements of a transaction, including structuring, overall due diligence, documentation and coordinating signing and closing.

- Performing legal due diligence on target companies.

- Actively engaging with other specialists supporting the Corporate departments, including tax, finance and accounting, HR, IP, commercial contracting, ethics & compliance, privacy, IT and security.

- Coordinating and overseeing the work of outside M&A counsel.

- Work with other senior lawyers to ensure a consistent and coordinated approach to legal issues and that efficiencies and synergies are harnessed across the Group.

- Working with members of the Team to audit, update and modify standard template contracts as and when needed.

Desired Qualifications and Skills:

The ideal candidate will preferably need to demonstrate the following skills, abilities and qualifications:

- A qualified lawyer with approximately 10-15 years post qualification experience (PQE is given as a guide only, this will not be a determining factor of suitability and applicants of other levels of PQE may apply) excellent academics and strong corporate transaction experience gained in a top law firm or in-house experience.

- Cross border M&A experience is essential.

- Must be able to work and lead autonomously on deals with minimal supervision and have credible experience of doing so. Be comfortable with negotiating commercial and non-legal issues (including price adjustment mechanisms e.g. working capital adjustments, earn outs) as well as purely legal corporate issues.

- Experience of working in Pharmaceutical or FMCG businesses would be helpful but not essential

- Excellent commercial judgment enabling consideration of legal requests in a commercial, constructive and business-sympathetic way, balancing business needs with legal risk.

- A confident, dynamic and personable individual who can influence senior executives and stakeholders with ability to communicate at all levels in the Company and build strong internal and external relationships.

- Collaborative, growth mindset team player who can get their hands dirty and assist with a variety of tasks.

- The ability to present clearly and effectively, especially to distill complex technical concepts into business terms.

- A self-starting attitude with flexible but robust approach with the ability to work autonomously and prioritize in a fast-moving need it now environment.

- Must have excellent written and oral communications skills.
