Key Deliverables of this role

Secretarial compliances for JVs and subsidiaries

- Compilation of Board Agenda for operating unlisted subsidiary company

- Preparation of first draft of Minutes of the Board

- Co - ordination with various functions for information/data required for Agenda compilation

- Preparing a draft of the reports of the Annual Report and compiling all the required data for the same by coordinating with other departments of the Company

- Preparing first draft of Disclosures to the Directors; maintaining records of disclosures received from the Directors

- Updation of Registers under the Companies Act, 2013

- Ensuring compliance with Secretarial Standards

- Updation and maintenance of Attendance registers

- Compiling MIS of Minutes of Board

- Printing of the Agenda for circulation to BoD

- IT help for conduct of Board meetings

- Conduct of meetings through VC

- Secretarial Standards compliance for the meetings of Board

- Coordination with the Statutory Auditors of the Company

- Conduct of an audit of the compliances carried on by JVs

- Provide Secretarial support to JVs

- Review the Agenda and Minutes of JVs

- Monitor status of compliances

- Ensure that JVs follow Statutory provisions at all times

- Review the Annual report of JVs

Insider Trading Management Systems:

- Updation of system with the latest list of Designated Employees and creation of logins created for the new

Designated Employees

- Follow up with employees for initial and annual disclosures

- Co-ordination with the Clonect and Asian Paints I.T team for various customization request, upgrade platform and various issues raised by the users

- Testing of various new requirements in the UAT environment and sharing of observations with the Clonect team

- Sending mails to all the designated employees for intimation of quiet period

- Resolving and replying to queries raised by Designated employees through compliance officer e mail id

- Analysis on the data received from TSR Darashaw for the trading done by the Designated Employees and reporting of defaulters

- Preparation of Reprimand letter for defaulters and intimation to SEBI and maintaining the status of Defaulters with regards to penalties imposed on them.

- Assisting on compliance with the PIT Regulations

- Promoter Pre - clearances

- Benchmarking practices

- Sensitizing employees through seminars and mailers

- Engage with the Designated Persons to see that the Compliance requirements under the Code are fulfilled.

- Maintain a MIS for all pre - clearances granted

- Maintain Pledge MIS for promoters

- Filing with Stock Exchanges in case of acquisition or disposal of shares

Secretarial support to International subsidiaries

- Extending support to all International Subsidiaries on compliance of all Corporate laws

- Reviewing the laws applicable to International subsidiaries

- Preparing a handbook for corporate laws compliance

- Reviewing the Agenda and Minutes of International Subsidiaries

- Preparation of MIS of all relevant data for subsidiaries

- Responding to queries raised by units on Corporate laws

- Preparation of synopsis of the minutes/activities conducted by International subsidiaries

- Preparation of a dashboard highlighting status of activities carried on by subsi companies

- Interact with the Finance teams at locations and engage the Secretarial Consultant to ensure that the activities of the Company are streamlined and regular updates and insights into the laws governing the compliance requirements for the Company are received in time.

Research & analysis

- Tracking Corporate law updates on a daily basis

- Summarizing key changes

- Impact analysis

- Researching relevant judgements passed by competent Courts

- Inputs for compilation of Corporate Bulletin

- Maintaining a Repository of Updates/case laws

Must have- functional competencies

Thorough knowledge of Companies Act, 2013 / SEBI Regulations

Critical personality attributes

Good Communication Skills

Self driven / self motivated

High levels of integrity

Other key interfaces

Interaction with Finance, International Business Units, Systems, Business Unit Finance Managers and with other members of Corporate Accounts/Finance.

Registrar & Transfer Agents/ Shareholders/PCS/Stock Exchanges/MCA/SEBI and other Statutory Authorities, etc.

Qualifications

CS first attempt

B.Com + 12th + 10th with atleast 60% throughout.

Previous Experience

2-4 years experience in Secretarial Department
