Legal Counsel Responsibilities : - Structuring, drafting, reviewing, negotiating, and providing advice with regard to a wide range of commercial agreements . Contracts include, but are not limited to: customer agreements, vendor agreements, professional services agreements, ground handling agreements, SaaS and other software agreements and non-disclosure agreements - Identifying legal issues, providing analysis of legal risks, creating and implementing solutions structured to meet new business objectives flexibly and efficiently, while enhancing legal protections and sustainability initiatives.. - Support stakeholder business needs and respond to inquiries regarding contract obligations and revisions and other general legal matters - Perform other transactional, legal and regulatory duties as needed, including supporting the organization's mergers and acquisitions goals and objectives - Building and managing relationships with key stakeholders within the organization in operations, sales and purchasing functions, as well as leadership. - Assist with developing and improving processes, playbooks, knowledge management and automation across all contract life cycles - Assist with developing and creating form agreements - Identify contract initiation, review, and execution and maintenance process improvements - Advising on legal risks, and the legal liabilities associated with different transactions - Researching legal issues that could impact the company - Assist in providing training to the company on legal topics - Assist in developing internal legal programs - Assist in regulatory affairs and compliance - Coordinate daily incoming contract requests, assign contracts for review to attorneys where necessary, track matters, and coordinate signature process within company's DocuSign Contract Lifecycle Management system - Maintain contract database and legal department files - Organize and communicate new and/or modified contract terms and processes, to all affected internal teams (i.e. operations, sales, finance, etc.) for their incorporation into and/or adaptation - Provide guidance to stakeholders in connection with contract generation - Ensure our internal contract documents are accurate and well maintained - Communicate information to stakeholders about contract-related matters - Monitor contracts and move forward with close-out, extension or renewal - Collaborate with a legal team consisting of lawyers and legal operations staff - Ensure contract compliance following our procedures- Other duties and responsibilities as assigned Qualifications: Juris Doctor (JD) Degree from an accredited top law school- Licensed to practice law- - 3-6 years' experience in a corporate law firm or in house legal environment - The ability to work independently and with minimal supervision on multiple projects at one time. - Expertise in contract drafting and negotiations especially with vendor and customer contracts without following a playbook - Team player with common sense, a good sense of humor and a desire to learn - Legal knowledge and ability to assist in examination, review, evaluation and/or preparation of legal documents relating to the business of the corporation - Contract and legal research experience - Experience with automated contract document tools preferred - Willingness to work cross-functionally with teams at Unifi, including, Sales, Procurement, Finance, Human Resources and Operations - Ability to understand general business operations and issues beyond the scope of basic legal issues - Clear communicator with excellent written, verbal, and listening skills - Basic knowledge of intellectual property and patent documents and activities is desirable - Experience managing, assigning tasks, and working within a contract lifecycle management system (DocuSign experience strongly preferred) - Strong communication, negotiation, and interpersonal skills - Deep understanding of contracts, contracts governance, contractual language, and the contract lifecycle - Superior organizational skills and the ability to manage multiple projects with shifting deadlines - Comprehensive understanding and experience of the main concepts and legal provisions of contracts - Confidence to successfully manage and execute contracts - Solid business acumen- Proficiency in Microsoft Suite Shift timings - 3pm to 12Am
