Strategy and M&A Analyst
Purpose: The Group has achieved 20000 crores revenue in last financial year. Our goal is to get to 5 billion USD revenue by 2025. M&A is one of our core strategies to grow as we see a lot of opportunity to consolidate, in line with the historical trend of multiple acquisitions & joint ventures, in India and overseas. We are looking for a very strong candidate to our M&A team who should partner with us achieve this vision.
Requisite for the candidate:1. Relevant experience in executing M&A / PE / JV transactions (3-4 years), and/or forming & pursuing business strategy, across sectors (experience of deals in logistics sector would be of added value). You may find relevant people from the Big 4 consulting firms (PwC, KPMG, Deloitte, E&Y) or mid-tier consulting firms (BDO, GT, Mazars) or mid-tier / boutique Investment Banks such as Centrum, O3, Edelweiss, IIFL, Mape, or PRIVATE EQUITY FIRMS, or international banks like StanC / HSBC / BNP etc. who have an M&A vertical.
2. Very strong in financial modeling as required for doing the M&A calculations.
3. Very good understanding of M&A process, both on buy-side and sell-side.
4. Experience of handling / coordinating valuation (including multiple approaches), due diligence, and legal documentation pertaining to M&A / PE / JV transactions.
5. Good project management skills and ability to deal with multiple stakeholders, internally as well as externally
6. Experience of at least 2 completed transactions (at least USD 10 Mn deal size each)
7. Well-connected in the logistics industry / sector + banks to be able to open discussions with interested parties by being actively searching for target companies with a right fit to ours domestically & internationally.
8. Will be part of the Chairman office and closely work with Chief Strategy Officer and M&A Head.
Summary job profile- Put together a framework / process around all the M&A / JVs
- Scan opportunities for consolidation in relevant space domestically & internationally using I. Bankers, consultants as well as in-house knowledge etc.
- Financial modeling basis the synergies, basis which he/she should be able to put together a business plan post coordinating with all the stakeholders
- Opening discussions with the shortlisted / interested opportunities
- Preparing valuation models and sensitivity analysis
- Creating deal note / investment thesis for internal discussions and approval processes
- Coordinating with external consultants and Target company, reviewing information / reports, identifying & discussing key issues / red flags, and preparing summary documents for internal discussions
- Assisting in-house / external legal teams in relevant documentation (NDA, Term Sheet, Definitive agreements, etc.)
- Ensure end to end smooth integration post the M&A by mapping it to the laundry list of activities that one need to ensure
Desired Candidate Profile:- CA or MBA from IIM/ISB/SP Jain/NMIS or other reputed institutions and/or CFA (USA - at least level III), or equally well qualified. Age ideally within 35 years.
