Airtel Payments Bank - Legal Role (8-10 yrs)

Purpose of the Job:

The job holder is responsible for provision of legal advisory services and ensuring effective management of legal and contractual risks. The function collaborates to protect and safeguard the interest of the company in a complicated business environment by advising on day to day legal and regulatory issues company wide. As a part of the legal team at Airtel payments bank, incumbent will work closely with product and businesses to define, negotiate and close high value, high impact contracts between Airtel payments Bank and our strategic partners.

Deliverables:

Contract Management:

1. As a contracts expert, incumbent will be involved in drafting, vetting and revision of all central level supply as well as service contracts for pan India Payments Bank Business. Will participate in and also lead negotiations for contracts. You will highlight any issues which are likely to have revenue implications and exposure to legal, financial and statutory risks

2. Will be required to ensure that the contract terms secure the company's interests, are compliant with laws, regulations and policies and do not conflict with the contractual obligations of the company under other agreements

3. Will be responsible for standardizing major contracts as per the new business models, customizing contracts as per business needs, handling day to day operational changes in documentation like amendments, renewals, terminations, etc.

4. Will be required from time to time to provide legal support to the business, such as advice on legal and compliance issues, replying to notices, etc

5. May be required to manage disputes regarding contract interpretation, conditions or compliance with legal requirements.

6. May be involved in audit processes, reviewing of company policies, processes, marketing material and communications from a legal standpoint. You will advise business and well as legal team on risks around technical solutions and service level commitments.

Litigation:

1. Responsible for handling management of litigation including consumer related matters.

2. Drafting of legal notices

3. Responsible for advising recourse in disciplinary matters related to employees, including drafting and vetting of notices and orders to be issued in such matters (including any Police complaints etc., to be filed).

4. Generally assisting Head legal and regulatory, documentation and management of all types of proceedings, claims and litigation, including proceedings initiated by any statutory authority, mediation and arbitration and claims against company in foreign jurisdictions etc.Since incumbent operating in a emerging Payment Bank business which is fast-faced market-driven environment, the role requires domain knowledge, robust ability to read fine print and work independently to meet aggressive deadlines to help Airtel payments bank realize critical business deals.

5. Briefing external counsels, including designate senior counsels in all such matters and aligning them to the internally approved strategy and obtain favorable judgments.

6. Drafting and vetting all responses, replies and representations before statutory and quasi judicial authorities in relation to issues concerning real estate owned by the Company, to protect its title and interest.

7. Drafting and vetting of notices and orders to be issued in disciplinary matters and Police complaints etc to be filed for and on behalf of the Company.

Major Challenges :

1. To obtain favourable orders from higher Courts in tax matters having exposure running into thousands of crores of rupees, wherein assessment authorities and tax tribunals have ruled against the Company.

2.To prevent employees, including top management, from being exposed to arrest and/or requirement of obtaining bail from criminal courts in criminal actions, FIRs and complaints against the Company and its employees.
