Airmesh is an upcoming service that delivers information, Communication and Entertainment anywhere, anytime on its Mobile Internet Platform. Airmesh is engaged in building next generation wireless networks to enable Mobile Internet and will serve as on of the biggest independent, carrier neutral and open networks that will leverage 4G technologies to create seamless MI experience.

Airmesh Communication Ltd is a part of the Airmesh group that has recently been granted the license to provision Internet services in Indiam and is preparing to start the phased rollout for its nationwide next generation wireless broadband network.

Manager : Legal & CS

The incumbent will be responsible for the effective and efficient management of the legal department, ensuring effective management of legal and contractual risks by providing accurate and effective legal advice.

Responsibilities include, but are not limited to:

Legal:

- Implementation of well-defined standardized Legal and Regulatory processes, Policies and Compliances

- Provide legal advice and support to Airmesh in relation to all legal matters, including identifying risks and assisting in solving legal problems;

- Drafting appeals / responses in connections with notices received under various statutes and international bodies

- Identifying legal and commercial risks and intelligently mitigating risks exposure

- Work effectively with the local markets / operating companies, clients, stakeholders and Group services functions;

- Analyze various business proposals / deals in the legal context

- Negotiate and draft a variety of commercial agreements

- Ensure compliance with local laws and regulations

- Management and protection of Trade Marks, Intellectual property & Patents

- Assisting in developing policies for Airmesh from risk & quality perspective

- Liaison with lawyers / external solicitors for instituting legal proceedings

- Provide legal input and advice on implementation of corporate strategy plans

- Building relationships with stakeholders across the globe

Secretarial:

- Ensuring that the company complies with the highest standards of corporate governance

- Responsible for all secretarial matters relating to the company under the companies Act,1956 and Companies Act, 2013

- Preparation of Circular Resolutions, Notice Agenda, Information Packs and Minutes of Board Meetings, Audit Committee and other committees

- Maintenance of statutory registers and records of the Company

- Carry out various filings with various authorities in timely manner

- To act as a Compliance officer, handling matters related company affairs, secretarial / legal affairs

- Executing / Monitoring all secretarial activities in Fund Raising viz In principle application, Listing and trading approvals

- Ensuring smooth flow of Secretarial activities

Desired Profile:

- Qualification: LLB, CS

- Relevant post-qualification experience of 5+ years with corporate sector

- Ability to interpret laws, rules and regulations and apply them to work as required

- Experience in negotiating and drafting commercial contracts and/or advising on regulatory matters

- Analytical skills - should be able to use judgment, analyze facts and draw logical conclusions

- Should be well versed with the new 'Companies Act 2013'

- Experience from working in an international environment is required

- Must be comfortable working in an individual contributor role

- A natural ability to handle a lot on the plate with an eye for details

- Willingness and ability to engage and resolve routine and unique issues

- Experience in Global or Multicultural company is desirable

- Knowledge of foreign legal system

- Working knowledge of MS Office

- English language skills to business standard, with excellent communication skills
