Position: Senior Manager Compliance

Location: Elphinstone Road

Principal Accountabilities

Accountability Supporting Actions

Regular and ad hoc reporting

- To review regulatory reports, ensure that the format specified by the Regulator is adhered to and conduct appropriate validation checks to ensure completness, correctness of the content of the reports.

- To ensure timely filing / submission of all the regulatory reports to regulators / board / management.

- To continuously review the regulatory changes and processes around regulatory reports and bring improvements.

- To ensure timely approval of investment transactions in the Quantis ensuring compliance with SEBI and internal norms. Evaluating investment limits set in Quantis

- Ensuring accuracy of the half yearly and annual financials

- Compliance of employees on trading regulations , Revising Policy on Prohibition of Insider Trading to bring the same in line with the SEBI Regulations and amending reporting portal accordingly.

- Escalating any exceptions to the Policy on Prohibition of Insider Trading and keeping a record of resolutions in this regard.

- Preparing a checklist of the Policy for the employees and having it circulated to ensure adherence

- Ensure timely pre-clearances for the employees and directors

- Oversee reconciliation at the end of the year to ensure 100% regulatory compliance

- Highlight any gaps on a quarterly basis to the risk team

- Review randomly picked sample recorded calls of dealers to check for any risks or red flags

- Deep dive into any suspicious calls to flag them to leadership for further action

AMFI Certification of sales and marketing employees o Providing inputs for developing the online NISM Platform and having it up and running so as to have a robust mechanism for the critical area for audit purposes. This has ensured:

1. Automation the activity with the assistance of IT and other stakeholders thereby eliminating the risks involved with manual monitoring thereby cutting down on audit observations.

2. Creation of a central repository of certificates of employees

2. Facility to generate alerts wherever certificates are due to expire, ensuring that sales employees are not benched due to expiry of certificates.

Updating of policies as per regulatory requirements. Addressing Quantis related matters pertaining to investment restrictions o Review and improve the robustness of the policies depending on the Regulatory requirements.

- Provide inputs to the Risk team for setting of new limits or modification of existing limits in Quantis.

- Supervise authorize breaches in Quantis basis calculations received from Risk team and guide the team in cases of exceptional breaches

Compliance related to Portfolio Management Service

Timely preparation, filing / submitting of regulatory reports, Disclosure Document

- Revamping the PMS Common Application Form

- Renewal of License

- Addressing business queries

- Ensuring that advertisements are in line with the Regulations

- Streamlining PMLA process for PMS business

- Ensuring general compliance with SEBI (Portfolio Managers) Regulations, 1993

Audits for BSLAMC

- Central point of contact for all audit requirements for BSLAMC (internal, statutory and SEBI)

- Ensuring effective closure of all open audit points

- Minimise adverse observations and escalate unresolved issues

- Draft suitable management response for observations, if any in the audit reports in consultation with the functional departments.

- Team and stakeholder management o Guide and develop team members to maintain highest compliance standards

- Facilitate development of skills of sub-ordinates to enable them to perform and achieve their KRA as well as take on higher responsibilities

- Proactively build and maintain relationships with key internal stakeholders for smooth cross-functional coordination and alignment towards achievement of function and business objectives
