About the role :

We are looking for an excellent General Counsel to add value to and be the "backbone" of our business ensuring that the company operates within the law at all times, offers counsel on legal issues, creates an effective guardian of the organisation and facilitates business strategies development. The successful candidate will be able to ensure legal compliance and limit risk exposure.

Role & Responsibilities :

- Lead and drive the legal advisory function for the organization across all business units.

- Lead strategic capital raise, M&A, private equity & debt transactions for the Company from inception to closing including advising and assisting in the due diligence process for the company, review of transaction documents, coordinating with external counsels, internal and external stakeholders etc.

- Advise and strategize on in-house litigations (including IP litigation) for the company and maintain a proper record of the entire litigation process.

- Recommend and advise on safeguards and legal strategies around Intellectual property rights of the company and assist in taking appropriate legal steps in relation to the same.

- Advise in employee related matters of the company and assist in drafting appropriate policies on various aspects to ensure legal and regulatory compliance and safeguard the company from any potential legal risks.

- Liaise with internal clients, external counsels and colleagues to manage legal risk, including contractual negotiations, local licensing and regulatory issues and compliance with relevant laws.

- Identify and resolve issues relating to suitability of transactions with external clients and sound management of conflict of interests;

- Review of legal documentation such as Contracts/ Service Agreements with Clients and contractors, Non-Disclosure Agreements, Inter-firm memos etc.

- Review of tenders (Request for Proposals) issued by Clients, Proposals and engagement Letters submitted to the Client.

- Recommend changes required in the above documentation from a legal and functional perspective, suggesting risk mitigating steps.

- Discussions with client/ client legal departments to negotiate contracts.

- Develop formats /templates for various types of Agreement

- This role will manage a small team.

Desired Candidate's Profile :

- LLB/ LLM (desirable) with minimum 10+ years of overall experience

- Significant prior experience in corporate transactions including strategic capital raise, M&A and
private equity & debt transactions.


- Must have the ability to lead M&A and capital raise transactions from inception to closing, and have experience in leading due diligence and have sound negotiation

Skills Required :

- Prior experience in handling and strategizing in-house litigations (including IP litigation) including coordinating with internal and external stakeholders on the same and maintaining proper files and records in relation to the litigation process.

- Knowledge of legal and regulatory framework around insurance laws including IRDAI Regulations will be an add-on skill and such candidates will be preferred.

- Ability to draft clear, professional and legally robust correspondence, contractual documentation, policies and other documentation.

- Strong presentation and negotiation skills to influence and persuade in decision making processes both internally and externally.

- Proven experience as a Senior Legal Counsel in a corporate - preferably MNCs or large Startups.

- Ability to deliver high-quality work under deadlines.

- Demonstrate ability to create legal defensive or proactive strategies

- Sound judgement and ability to analyse situations and information

- Ability to build and maintain good relationships both internally and externally at all levels.
