Vice President/Senior Vice President - Legal - Asset Management Firm

Candidate must have an experience of working in the legal team of Asset Management Business including drafting of LLP agreements, PPMs, IMs, Pitch books, Contribution Agreements, Investments Management Agreements, Investments Advisory Agreements, Onshore & Offshore fund structuring. He / She must also have hands on knowledge and experience of Capital Markets laws & regulation.

Prospective candidate will be responsible for multiple tasks on the legal side across the Group, including handling the legal aspect of our Asset Management Business and or any M&A Transactions and Downstream investment into Investee Companies. He will also be handling litigations.

Following will be some of the activities that he must have done in his previous organizations.

CORPORATE & SECURITIES :

- Assisting on making investments and divestments including negotiations, drafting of legal documents (shareholders agreement, share purchase agreement, joint venture agreements, escrow agreements etc.), analyzing/reviewing of legal due diligence reports;

- Liaisoning with legal counsels on investment / divestment agreements, due diligence and title diligence reports and legal opinions;

- Assisting on documentation for setting up domestic / offshore fund structure and liaisoning with regulatory authorities and legal counsels/administrators for obtaining regulatory approvals for setting up of funds, sub-account registrations, setting up of offshore entities etc;

- Researching, presenting and preparing case studies, notes on various legal and regulatory issues including FDI Policy, VCF Regulations, AIF Regulations etc;

- Research and due diligence on investee companies including compliance with corporate law;

- Providing general corporate advisory services and drafting in relation to the day to day management of CAML and in relation to the funds managed / advised by it including service agreements, loan agreements, leave and license agreements, non-disclosure agreements, trademark license agreements, etc;

- Liaisoning with statutory and internal auditors in relation to the investment / divestment by the funds;

- Responding to investor queries and complaint & Updating the management on changes to relevant laws and regulations.

LITIGATION :

- Drafting / reviewing of plaints, petitions, arbitrations applications, affidavits, caveats, rejoinders, vakalatnamas etc;

- Researching and preparing case study and notes for legal counsels;

- Briefing legal counsel on on-going litigations and attending courts and regulatory hearings; and

- Assisting on managing litigations and updating the management on the status
