Job Description :

Position Title : Transaction Manager - SSG

Division / Department : Special Situation Group

Location : Mumbai

Job Purpose :

Responsible for resolution of distress and special situation in specific assets which involves business analysis, study of Company's potential, industry risk, prospects, business and financial restructuring, change of management, induction of strategic investor, valuation & sale of assets and investments, initiating legal actions in different forums like CDR, DRT, BIFR and under provisions of Securitization Act, 2002 and New Companies Act.

Active management of distress assets involving interaction with top management of the restructured company, performance monitoring & benchmarking, adherence of terms of restructuring.

Organisational Chart :

Team Lead SSG- Incumbent- Direct reports (2 No.)

- Will be responsible to manage team of 2 - 3 persons and should use resources of PFG, Legal, Risk and Compliance departments for discharging his responsibilities in close co-ordination with respective heads.

Principal Accountabilities :

Accountabilities :

- Lead team for Resolution of Specific Assets.

- Handle the assignments independently for identification of problems through active engagement with PFG & client.

- Close monitoring and maintaining identified potential stress case.

- Improvement of security cover, betterment of terms for L&T Infra Finance

- Rope in senior management to arrive at workable solution, negotiations with the client and other external and internal.

- Reduction in GNPA

- Process management for getting buy in of all stake holders taking internal approvals and implementation of the solution

- Active management of stress Assets.

- Leading execution of resolution strategy

- Internal and external negotiations (with Borrowers, CDR forum, multiple co-lenders, private equity investors and other parties) to arrive at optimal solution

Dimensions :

Financial Dimensions :

- Handle the assignments allocated by Management Committee around [2 3] assignments annually, total debt size up to [500] crores.

- PBT level : Profit / Recovery / Loss / Provision avoided impact of Rs. 10-15crores p.a.

Other Dimensions :

- Would lead a team of 1-2 persons

- Networking - banking sector; investment banks & intermediaries. For resolution of every case, would require discussions and negotiations with multiple entities (Banks, NBFCs, PEs, Promoters, CDR Forum) besides legal consultants and SARFAESI / DRT Forums.

- Interact with investors, consultants, brokers, auction agents etc based on the resolution/recovery strategy

- Responsible for security creation, maintaining documentation, process compliance and audit related deliverables on the assets handled (excluding legacy)

Skills And Knowledge :

Educational Qualifications - CA/MBA/CFA/LLM

Functional Skills :

- Specialized knowledge of restructuring transaction and relevant acts, restructuring methods & processes; and credit assessment skills, Legal & Contracting aspects

- Experience in leading team for resolution of the restructuring transactions

- Should be able to come out with solution with proper reasoning for resolution of the transactions

- Should be able to present the solution and secure approvals from committee and stake holders

- Should be able to solve the problem with innovative solutions given the risk appetitive of the organization

- Should be able to independently run the transactions keeping the department head in the loop and confidence

- Relationship management capabilities and Structuring and deal negotiation capabilities with clients

Relevant and total years of Experience :

- 5 to 7 years with around 3 years of direct experience in handling stressed assets and project finance
