Transaction Manager - Equity Syndication (6-10 yrs)

JOB DESCRIPTION

1. JOB PURPOSE

(Briefly describe the general purpose of the position or its significance from the organizations point of view and how it contributes to the overall mission/objective of the organization).

To lead transaction execution with support from transaction managers by providing guidance on preparation of new business pitches, due-diligence, financial structuring as well as Liasoning with various intra- organization teams for process approvals thereby effectively coordinating the transaction process and help achieve the target Fee Income guidance of the organization from the equity syndication and M&A space.

2. PRINCIPAL ACCOUNTABILITIES

Business Development

- Scanning on potential opportunities with clients (L&T/ Non-L&T relationships) and arrange interactions with relevant business groups to enable conversion of opportunities into firm mandates

- Guide Transaction managers in preparation of the business pitches, investment brief, etc.

- Conduct preliminary due diligence at the pre-offer stage and evaluate business plan to enable senior management buy-in for multi-crore investment decisions

- Provide market intelligence to Team Managers/ senior management to review competitive landscape and enable decision on organizational action points

Deal Execution/ Syndication with investors

Co-ordinate discussions with clients at various stages on deal related aspects to firm up deal contours for investment proposition based on client requirements and fitment;

Manage the due-diligence process with support from transaction managers for structuring customized financial solutions, terms and conditions of investment and investment proposition for approval by the internal investment committee;

Review of Information Memorandum/ market communication documents highlighting the salient investment features, risks, opportunities, etc. prior to launch with potential investors

Monitoring and overseeing investment due-diligence process with investors including query resolution, compliances, etc. to ensure final sanction/ participation in the transaction.

Deal Closure

Oversee the documentation process and ensure smooth closure of transactions through effective co-ordination between the Client, investors, Legal teams and synchronization of terms sheets

- Facilitate negotiations, interactions and consensus amongst all stakeholders of the deal

Other misc accountabilities

- Mentor and handhold transaction managers encountering process bottlenecks

- Ensure regular updates on transactions are communicated to senior management for course correction and resolution of key issues

- Oversee the database/ MIS on periodic basis for effective tracking of business progress round the year

3. DIMENSIONS

Financial Dimensions

(These should be quantifiable numerical amounts like annual budgets, project costs, annual revenue, purchase value etc.).

Opportunities scanned per year: 15-20 considering conversion rate of 10-20% in the relevant business space

Execution of firm mandates: 2-3 per year

Fee income: Rs 2-4 crores on completed mandates as success fee or as retainer fee

Other Dimensions

(Indication of some of the significant volumes associated with the job like number in team/ staff handled etc)

Establish contact points with:

- Private equity funds/ AMCs 5-10

- Corporate clients/ developers/ aggregators: 15-20

- Other investment banks: 5-10

Internal Teams such as PFG, Legal, etc.

4. SKILLS AND KNOWLEDGE

(State the minimum acceptable proficiency for this job which best indicates the education and/or experience requirements of this job and not the incumbent).

Educational Qualifications and Experience

MBA in Finance / Chartered Accountant with 6-10 years experience in Finance including Private Equity, investment banking/ credit function/ equity research/ equity syndication and preferably with specialized certifications like CFA, FRM, etc.

Functional Skills

Understanding of equity valuation methodologies with domain knowledge across sectors viz., industrials, infrastructure and Project Finance concepts, Public private Partnership (PPP) model and associated risks

Excellent presentation and negotiation skills Practical knowledge of closing Project Finance and Structured transactions in multiple sectors

Ability to handle transaction teams to ensure concurrent handling of multiple transactions

Sector knowledge (Technical, Regulatory, Contractual Structure, Performance of Key Players etc) in key infrastructure sectors (Power Generation and T&D, Roads, Ports, Telecom, Construction, Urban Infrastructure)

In-depth understanding of key Acts/Regulations/Order :-

- RBI/NBFC/SEBI/FEMA etc

- Regulatory Authorities of each Infrastructure Sector

- In-depth understanding of Legal documentation, Contracts, Litigations, Arbitration, etc.

Other Skills

Well networked with business houses, developers, sector experts and other industry stakeholders across lower to middle management

Ability to interact and manage client relationship at various level (Promoter, Finance, Accounts, Legal, Technical and Operations etc) in order to gain in-depth understanding of clients business, financial and operational performance and successfully close the transaction

Ability to interact, mediate and negotiate with professionals across various fields viz. Legal, Technical Experts, Finance, to achieve faster deal closure

Ability to mentor and guide transaction teams on due-diligence and internal processes

Ability to handle multiple transactions across sectors and at various stages of appraisal, maintaining the Turnaround Time at minimal which ensuring quality of appraisal and knowledge transfer to peers/juniors
