Vice- President/ Associate Vice-President   Line of Business: Shared Service   Proposed Immediate Superior : Company Secretary   Grade: M5/M6.  Key Objectives:  - Meeting secretarial and compliance requirements.  Major Deliverables:  - Responsible for secretarial work of TCL and TCFSL : Board Meetings and General Meetings  - Over seeing the work of the Company Secretaries of the subsidiary companies of Tata Capital Limited  - Fund raising activities: Debentures and Preference Shares; Preparation/ Updation of Information Memorandum / Disclosure Documents   - Corporate Governance  - Compliances under Companies Act, RBI, Debenture Listing Agreement, SEBI  - Handling of ESOP related work  - Co-ordination with Statutory and Regulatory Authorities (ROC, RBI, SEBI, MCA) including handling RBI Inspections  - Restructuring activities  - Incorporation of companies   - Assist in preparing and printing of Annual Reports of Tata Capital and its subsidiary companies  - Co-ordination with Registrar and Transfer Agents for debenture and Preference shares issuances  - Investor Grievances   - e-Filings   - Co-ordination with PCS for Secretarial Audit   - Updation of Statutory registers and records  - Due Diligence exercises  - Preparation of Reports, furnishing of information/data, etc.; Making application to Statutory/Regulatory Authorities  - Any other work related to secretarial/compliance matters as may be assigned  Job Challenge:   a) Requires extensive interaction with:  - Senior leadership team   - Statutory and Regulatory Authorities   - Registrars and Transfer Agents   - Accounts, Treasury, Operations and Other Departments   b) Requires to be abreast with latest circulars, notifications issued by MCA, RBI and SEBI  Specialized Job Competencies:  - Good knowledge of Companies Act and other Corporate Laws  - Timely completion of tasks  - Very Good Communication skills (Written and Oral)  - Good inter-personal skills   - Attention to detail  Educational Qualification:   - ACS (Additional qualification in Law/ Finance would be an advantage  Desired Experience:  - 8-15 years of experience (Exposure to NBFCs preferred)  Other Desired Attributes:  - Good team player  - Ability to see the big picture  - Conceptual clarity  - Maturity of thought  - Analytical thinking  - Commitment and passion for work  Location: PBP, Mumbai  Number of Positions: 1
