Sr Manager - Secretarial - CS - BFSI (5-7 yrs)

Essential for Role:
Total corporate experience of 5-7 years or more with minimum 4-5 years in a Listed Company.
Position Purpose:
To plan/ formulate statutory compliance, ensure secretarial function management and compliance, provide value added and proactive planning and safeguard company against non-compliance costs .
Position Responsibilities:
KEY RESPONSIBILITIES
Secretarial
- Well versed and proficient with all secretarial and compliance matters relating to Companies Act, 2013, FEMA & RBI regulations, Listing Agreement, SEBI Guidelines and regulations, Corporate Governance Norms.
- Assist the Company Secretary in conduct of periodic Board, Audit & other Committee’s meetings as required under applicable Companies Act, 2013
- Ensuring complete and accurate disclosure to the Board and Audit Committee to achieve qualitative outcome in the meetings
- Channelising the inputs from various functions to the meetings
- Assistance in ensuring proper maintenance of Board Minutes, Agendas etc.
- Intimation / Liaisoning with various authorities such as Registrar of Companies
- Preparation and filing of various e-forms, Annual Returns, Annual filing XBRL mode and the entire event based and time based filing with Ministry of Corporate Affairs as required under the Companies Act, 2013
- Coordinating inputs for any queries raised by Board members
PROCESS
- To set up systems, manuals and processes to run an efficient secretarial function.
CUSTOMER
- Build network with internal customers within the organization.
- Ensure internal customer satisfaction by providing quality and timely feedback / response.
KEY CRITICAL COMPETENCIES
Self Motivation, willing to work independently, conversant with Corporate Laws and Procedures. Ability to independently handle Secretarial Affairs of a Company
