We are Antal International, a senior recruitment firm, currently hiring a Sr. Manager - Legal for an Indian MNC that is into Automotive Sector located at Chennai.  Reporting: This role reports to President - Finance.  Essential Attributes:  - At least 13-15 years’ experience in the Automotive/Manufacturing Sector.  - Must have worked in a listed manufacturing company having sales of 500 cores or more.  - Should be based / willing to relocate to Chennai.  - Should & must have experience in Commercial Contracts Drafting & Review, IPR Management and compliance, Land acquisition approvals, Legal Suits / Litigation Management & Regulatory compliance.  - Manufacturing systems exposure: TPM / TQM / Lean Manufacturing /SPC / TS 16949.  - SEBI Regulations & Rules, Foreign Exchange Management Act, 1999 & Rules made there under and other corporate laws.  - Active contribution in audit / finalization of accounts - Audit interface – Fair knowledge and understanding of Accounting Standards, Accounting principles   - Working knowledge of applicable Tax Laws – Direct and Indirect.   - Good knowledge of Mercantile Laws  - Good knowledge of General laws and procedures.   - Ability to see issues in a holistic way rather than in isolation   - Ability to foresee regulatory trends, developments and adopting proactive measures to keep the organization in a state of readiness for compliance.   Job Description:  Intellectual Property Laws - Trademark / Patents:  - Renewal of Trademarks  - Managing legal issues, infringements relating to Trademarks - liaison with Trademark Attorneys  - Co-ordination and assistance with units / Attorneys for Patent application filing   - Keep track of Annuity Fee payment schedule for Patents  - Annual Filing for Patent Grants - Form 27 - Statement regarding the working of Patent Invention in co-ordination with the respective Units in SFL and Patent Attorneys   - Registration under Designs Act, managing legal issues - liaison with Attorneys  - Review of Plaints, Written statements, Affidavits, Prayer for legal proceedings pertaining to IPR issues and finalizing the same with Attorneys  - Maintenance and updating of Register of Trademarks, Register of Patents and Register of Designs.  - Compliance under labour Laws  Drafting of Commercial Contracts and Administration:  - Drafting and reviewing of Confidentiality / Non-Disclosure Agreements, Custodian Agreement (Raw materials), Agreement for Digitisation of records, Distributor Agreement, Indemnity Bonds, Leave & License Agreements, Technical License Agreements, Power Purchase Agreements, Shareholders / Share Purchase Agreement, Purchase Orders, Overseas Sales Agent Agreement, Letter of Intents, MOUs, Terms & Conditions of Sale, Security Services Agreement, Service Level Agreements, Shop-in-Shop / Job Work Agreements, OEM Supply Agreements, Tool Hypothecation Agreement, Trade Advance Agreement, Review of Statement of Work for Software Services, Warehousing Agreement and Warranty Agreements.   Land acquisition / Property matters:   - Drafting Applications / follow up for obtaining approvals / clearances under Tamil Nadu Land Reforms (Fixation of Ceiling on Land) Act 1961 (TNLR Act).  - Liaising with Land Consultants, Thasildars, District Revenue Officers and District Collectorate, arranging for land survey inspections for obtaining exemptions / approvals under TNLR Act.   Legal Suits / Litigation Management / Drafting of Court Submissions:   - Drafting of points for Plaints, Written statements, Affidavits, Prayer for legal proceedings and finalizing the same with Advocates relating to Civil Suits   - Legal Suits relating to Share title dispute cases, share transfer cases & transmission claims  - Monitoring litigations pending in Courts.  - Liaison with Senior Counsel, Advocates with respect to the legal matters and pending suits in the courts.  - Drafting replies to legal notices  - Drafting replies to show-cause notice issued under Standard Weights & Measures Act, Packaged Commodities Rules.  Records Management:  - Safe keeping of all statutory / Board / Board Committees related documents.  - Safe keeping of all legal, statutory, property title documents and issue and receipt thereof as may be required.   - Safe keeping of all Trademark Certificates / Renewal Certificates   - Safe keeping of all Patent Grants  Education:  - B.L or LLB
