Sr Manager/Associate Director - Legal - eCommerce (7-15 yrs)

An eCommerce organization is looking out to hire Senior Manager/Associate Director Legal who would be responsible for managing the legal function for the Group businesses in India. Currently, reporting to the Group CFO (Chief Financial Officer) at the Group, the role will report into the General Counsel/Head Legal . This role will be based out of Gurgaon/ Delhi NCR and will come in at a career level of Senior Manager or Associate Director. It will have a span of control of about 2 - 4 direct reports within the Legal Function.

Job Purpose:

This role provides direct legal and corporate advice on any legal matters and issues involving the Group businesses and operations. The candidate will also lead efforts to ensure the company remains in compliance with its legal, corporate, regulatory, labor, litigation and contractual obligations.

- As and when required, he/she will also get involved to review M&A transactions and contracts to ensure adherence to laws and regulations and compliance standards.

- In addition, she/he will be working closely with the Group CFO in creating legal best practices, working with the business team to develop legal template and processes for new business and commercial models.

- He/ She will also work with the global team to deliver a diverse array of legal matters and program initiatives, and will have frequent contact with corporate management, international lawyers, attorneys and professional throughout the business. The role will include travel within the business.

Key Accountabilities & Responsibilities:

Specific responsibilities include, but are not limited to the following:

- Day to day responsibility for effective, practical and timely legal advice, analysis and support at an expert level on range of matters for the business units/teams.

- Responsible for all legal compliance and intellectual property management for the organization

- Custodian for complete contract management including drafting, reviewing and negotiating a vast variety of agreements / contracts including Trade Mark and Copyright Licensing Agreements, Vendor Agreements, Software License Agreements, Joint Venture Agreements, Joint Development Agreements & Contracts, MOUs, & Partnership Deeds

- Manage all litigations pertaining to consumer matters, criminal matters, trademark/ copyright infringement cases, domain squatting cases etc.

- Responsible for Customer & Business risk management, identifying areas of risk in relation to regulatory, commercial and contractual matters/agreements/contracts to be entered into by the Company and provide mitigants/solutions to manage these risks

- Regular review of company operations and products and set up appropriate terms and conditions of use

- Liaise with all external counsel as and when required

- Review new or changed legislation and determine its impact on the business; track and manage regulatory changes; provide advice to the business to ensure its compliance

- Work with the business operations to embed ethics and compliance into everyday business practices through a collaborative approach

- Provide leadership and ensure efficient and effective management of resources in the legal department.

Professional Experience / Qualifications:

The ideal candidate profile will be:

- Graduate/Post Graduate from a premier law school and license to practice law in India

- 7+ years of relevant experience, ideally in a leading organisation with a proven track record in:

a) contract negotiation and drafting and

b) providing accurate and effective legal counsel

- Experience at leading local and international law firms or in-house experience at multi-national companies

- Knowledge of M&A (preferred)

- Should have general business acumen and problem-solving skills

- Excellent understanding of internet and eCommerce business (preferred)

- Strong interpersonal, communication, analytical and negotiation skills

- Possess in-depth knowledge of company laws, and commercial laws

- Extremely hands-on with leadership skills and strong ability to motivate and engage others.
