ROLE OVERVIEW :

Reporting to the Senior Vice President - Legal of SPN India, the incumbent will be responsible for providing legal support to various departments of the JV Channel.

Scope of Work and Responsibilities :

- Supervision of the JV Agreement and liaising with the JV partners: The JV is required to comply with numerous obligations under the JV agreement. The incumbent will be required to supervise the operations of the JV channel from a legal perspective to ensure the operations are strictly in accordance with the JV Agreement. The incumbent will be required to coordinate with the JV partners and the company secretary to get approvals and provide legal opinions on matters pertaining to the JV agreement and operations of the JV.

- Drafting of contracts

Channel business support: Contracts pertaining to Marketing, Digital Marketing OAP, Programming, IT, Logistics, Ad Sales, contest terms and conditions, privacy policies, terms of usage of websites and likewise; drafting and negotiating low to medium complexity contracts for the foregoing aspects of the channel business by providing legal inputs and rendering services through the contractual process.

Databases : Extraction of various copyrights and other rights for the purpose of ingestion of such rights in the software for effective maintenance of records and exploitation of such rights. Understanding of licensing contracts is a must.

Licensing : To support the licensing and other intellectual property related transactions by drafting and negotiating contracts

Miscellaneous : To draft contracts on as required basis for miscellaneous transactions of the company

Other roles and soft skills :

- Engaging, learning and winning the confidence of business and commercial teams

- To minimize risk and proactively protecting the JV's interest and assets

- Support existing processes to manage the Intellectual property rights of the JV in various databases

- To provide litigation support and to manage outside counsel optimally in a focused, efficient and effective manner

- Day to day responsibility for drafting accurate contracts, negotiating them with third parties on his/her own and concluding them in tight deadlines

- Providing accurate, effective and timely legal advice, analysis and support on commercial and contractual matters taking into account the commercial environment

- To act as the day to day interface between the JV company and external counsel, briefing external counsels and attending hearings in the courts and other regulatory forums and government departments

- Co-ordinates with intra departments of the company in respect of commercial and contractual matters where appropriate to ensure that all relevant legal issues are identified and appropriate support is provided

- Understand tax and regulatory structure of the JV Company and be able to safeguard the company from exposure in the contracts

- Assists in the development of best practice with regards to the legal aspects of commercial and contractual matters entrusted

- Influences and assists in discussions between clients and other functions to ensure the best legal solution to meet commercial objectives and to encourage best practices

Pre-requisites for the Role :

- Understanding of contracts and licensing of intellectual property rights especially copyrights

- Good drafting skills

- Excellent command over spoken and written English

- Commitment towards deadlines: Timely and efficient delivery of legal support is the key

- A team player

- Multi-tasking and eagerness to learn

- Incumbent in the role must be able to keep himself/herself updated with new developments relating to the media and entertainment industry and apply them to mitigate risk and exposure for the company.

- Incumbent is expected to be a quick learner and is expected to grasp and apply learning from new (and past) applicable judgments, opinions and articles in his/her legal role.

Qualifications/Requirements:

- The candidate must hold a Bachelor's degree in law (LL.B.). The credentials of the law school/university from which candidate has done their LL.B. will be considered.

- Diplomas in legal vocations/subjects like Media and Entertainment, Intellectual Property Rights etc. are preferable.

- A minimum of four (4) years after completion of the LL.B. degree as in-house lawyer and/or in law firms. Internship experience will not be accounted towards the requirement of 4 years of work experience.

- Experience working in a Media & Entertainment company shall be an added advantage.

- The candidate must be self-driven and motivated to take the initiative with a strong sense of commitment towards deadlines.

- Should have high energy levels to absorb the daily learning in the legal fields governing media & entertainment

- The candidate must be able to demonstrate the ability to handle pressure situations with alacrity.
