Company Secretary - Group Level

- Strengthening Governance Process and Framework across the group. Build Practices to strengthen corporate governance across the group

- Ensuring timely compliances under Companies Act 2013, and SEBI/ RBI/ NHB guidelines and all other applicable laws for the group of business policy frameworks etc.

- Compliance with Listing regulations of SEBI in the listed entities within the group - there are two listed entities (equity).

- Compliance with the Companies Act, applicable SEBI regulations and coordinating with other departments in connection with fund raising, debt structuring, capital raising including by way of the private placement issuances of securities like NCDs, Structured products (Market linked debentures).

- Conducting Annual General Meetings of these equity listed entities.

- Strengthen Process to ensure of group critical compliances like Loans, Investments, RPTs, IFC,RCM, and practical implementation along with maintaining all records. Setting right process within the company with teams to ensure all data required for compliances

- Innovative suggestions to apply the rules/sections for the group to make business oriented secretarial function.

- Monitoring all updates on the Companies Act/SEBI/ RBI/ NHB guidelines and all other applicable laws & providing clarity on the same to Seniors and board members

- Understanding our company business, balance sheet, Equity Capital structuring, ESOP schemes, Various corporate finance raising instruments like Debt, preference capital, Commercial papers, hybrid instruments, Re-structuring projects like a bonus, rights, etc in compliance with Company law, SEBI &, RBI & NHB.

- Lead effectively the compliance & secretariat team in the Company

- Support the Board and management in maintaining & enhancing Governance culture in the Company

- Proactively ensure Governance & compliance with all applicable laws through adequate Systems & processes, particularly including but not limited to about Board processes, Board, committee & General meetings, reporting to statutory & regulatory bodies, Stakeholders, including shareholders, Disclosures in Annual & other reports & websites

- Effectively plan, manage & implement Capital raising programs

- Experience of designing, implementing & amending ESOPs from time to time and coordinating with outside agencies;

- Support the management by resolving issues related to corporate Laws while dealing with Mergers & acquisitions, Take overs, competition Etc.

- Drafting & vetting relevant commercial contracts & agreements/documents related to Joint ventures, Power of Attorney.

- Preparation of appropriate Management information reports.

- Handling of various meetings of Board, Committees thereof as applicable to listed companies;

- Co-ordinating with Directors and other stakeholders for smooth conduct of Board Meetings and other committee Meetings;

- Co-ordination for all shareholders related queries, monitoring applicable compliances by RTA, Depositories, Depository Participants;

- Compliance with all applicable SEBI and Listing Regulations;

- Maintenance and monitoring of RPT (Related Party Transactions) within the Group;

- Maintenance of Statutory Records viz, Minutes Books, Statutory Registers, and records;

- Compliance under SEBI Takeover and Insider Trading Regulations;

- Compliance under SEBI ICDR Regulations;

- Dealing with outside agency in connection with shareholders and also regulatory agencies such as NSDL, CDSL, RTA (Link Intime) and monitoring compliances;

- Handling of Investor Grievances and compliance on daily basis; Co-ordinating with Other departments in connection with fund raising, debt structuring, capital raising;

Corporate Actions such as Merger, Demerger, Amalgamation, New issue of shares; Handling ESOP (Employee Stock Options) for Internal employees and coordinating with outside agencies;

Drafting, reviewing and execution of various JV agreements, structuring agreements, transaction documents, NDA in connection with various transaction taking place in Group;

Key Skills:

- Should have handled group secretarial role in the current role or in past.

- Should have dealt with multiple regulatory regimes with a minimum of SEBI, RBI/ NHB.

- Excellent knowledge in the areas of Company Law, SEBI, RBI, NHB, Stock Exchange Listing Agreements, Secretarial Practices, commercial laws.

- Developing a network and good contacts with the Government Statutory & Regulatory bodies and experience in interacting with senior level functionaries

- Should have a business mind & able to grasp business nuances quickly.

- Patient accumulation of professional accomplishments.

- Should have the ability to enforce compliance among senior management team members In a tactful manner, presentable, have corporate etiquettes.

- Candidate should be smart, aggressive and dynamic person with strong leadership & managerial qualities.

- High level of target orientation with good quality written & spoken communication skills.

- Good interpersonal skills
