Senior Manager - M&A Tax & Regulatory Services - Accounting & Consulting Firm

Sr. Manager for our Client which is the largest domestic accounting and consulting firm with global ambition and outlook.

Senior Manager:

- Experience: 7 to 9 years

- Qualification: CA or CA/CS

- Should have extensively worked in M&A tax and regulatory services in any consulting firm

- Detailed and in-depth knowledge and experience in M&A deals ie corporate group restructuring, acquisitions, divestitures, tax due diligences, private equity deals, outbound acquisitions/deals, etc (- M&A- )

- Comprehensive knowledge of/background on tax and regulatory framework surrounding M&A - corporate law, income tax,, tax treaties with countries, SEBI, FEMA, Stamp Duty, Competition Commission of India (- CCI- ) Act & Regulations, NBFC regulations, etc

- Clear and practical thought process on objectives in deal structuring and M&A

- Should have ability to explain challenges faced in M&A regulatory and tax arena in assignments and how they were addressed/overcome.

- Experience should involve

- Drafting / reviewing concept presentations with overall objectives being achieved in a tax efficient and regulatory compliant manner,

- Meticulous and detailed approach to how challenges were addressed in each assignment - basically explaining what were challenges in each work assignment and analyse how they were different in each assignment and addressed,

- Drafting / reviewing schemes of arrangement/amalgamation,

- Steady project management of High Court (now NCLT) process involving High Court (now NCLT) and lawyers, SEBI interface for NOC/observation letter, CCI approval wherever required, RD, RoC, OL, Stamp duty adjudication, etc

- Should be updated on happenings in M&A field i.e. reading articles, budget updates, being abreast of latest regulatory developments in the field and their impact/potential impact on various deals, tax updates on similar lines, etc.
