Sr Manager Company Secretary

The Company Secretary will be responsible for corporate compliance, governance and all other secretarial and preferably legal functions, the position requires the person to be responsible for the corporate governance, investor relations, Board management and be the point of contact for all compliance related issues:

The positions requires the person to come with

- In depth understanding of the Companies Act 2013, knowledge in filing forms with -the ROC

Understanding of multi country jurisdictions and ability to ensure corporate compliance in various countries :

- Knowledge in maintaining the statutory registers of the Company

- Knowledge in preparing notice, agenda and Agenda notes for Board and Committee Meetings.

- Conduct Board meetings, maintain investor relations, respond to queries on a timely basis

- Proficiency with ESOP plans, agreement drafting, and administration.

- Ability to lead the Company responses in liaising with the internal auditor

- Participation in due diligence and other fund raising process as required and be the SPOC for the corporate record

- Knowledge in filing the Corporate Governance Report, Shareholding Pattern, and Investor Grievance Report

- Exposure to POSH and other related policies.

- Must be able to implement and maintain compliance dashboard

- Knowledge in Listing Regulations issued by SEBI and IPO process would be an advantage.

- Drafting Power of Attorneys to be issued to the company executives on a regular basis.

- Expertise in Drafting the Board, Committee Minutes and Circular Resolutions.

In case the candidate has a legal background than handling the entire legal affairs of the company as well.
