Pidilite - Head - Company Secretary - Compliances (12-20 yrs)

1. Drive compliance of Companies Act, 2013 & Rules Listing Regulations, Secretarial standards, SEBI Regulations etc.

2. Ensure standardization of secretarial practices across all the group Companies.

3. Ensure designing and implementation of processes to support robust compliance function in the Company.

4. Lead the effective implementation of tool for compliance management. Ensure regular reporting.

5. MIS on Compliances.

6. Ensure FEMA compliances including the regulations related thereto.

7. Lead a team of qualified Company Secretaries.

8. Manage the processes followed by the Company in the secretarial function.

9. Review the policies of the Company at regular intervals.

10. Independently handle cases relating to shareholders.

11. Manage the process related to Board meetings, Committee meetings, General meetings (KRA Ensuring accuracy of data & drafting, timely and correct filing of forms with the ROC, RBI etc)

12. Manage the interface with the STA. (KRA- Ensure compliances related to the functioning of STA, shareholder queries, shareholder disputes etc.

13. Ensure efficient handling of the entire dividend payment process from Intimation to stock exchange to payment to shareholders and reconciliation of unpaid dividend. (KRA - effective and timely statutory compliances)

14. Create awareness among employees and other stakeholders on compliances especially w.r.t insider trading and drive compliance.

15. Collation of details and drafting of CSR, Directors report, MDA, CG report, BRR, MGT-9 etc and ensure timely posting and other compliances relating to AGM.

16. Manage Secretarial compliances of international subsidiaries.

17. Collate details of litigation of international subsidiaries.

18. Ensure proper maintenance of statutory registers.

19. Ensure compliances w.r.t ESOPs.

Desired Candidate Profile :

Qualified CS with 12 + years of relevant experience preferably from Manufacturing industry

Must have good knowledge of companies Act 2013 and the Rules, secretarial standards, Listing Regulations, PIT and SAST compliances)

Ability to work and deliver within timelines

Must have good drafting skills (resolutions, notices etc)
