KRA :

- Compliance with various laws especially Companies Act, SEBI, AIF, FEMA and RBI,

- Proficient in the matter relevant to private limited companies from the legal compliance aspect,

- Drafting and Finalizing Transactional documents incl. TS and SHA with Portfolios Companies,

- Drafting and/or Vetting of Agreements / Contracts / Legal documents,

- Overseeing deal execution and post investment documentation incl. exits,

- Drafting and Vetting fund raising documents incl. TD, PPM, IMA & CA,

- Advise on alternative structure and procedural / secretarial task of Portfolios Companies,

- Advise on applicability of various business laws in India to Management / Others,

- Advise / Co-ordinate for Legal and Corporate Due Diligence of Portfolios Companies,

- Form various policy documents / frameworks at Fund, AMC and Portfolios Companies level,

- Perform procedure for the Board Meeting, Committee Meeting and Shareholders Meeting,

- Perform / Review compliance with MCA on periodic basis incl. Secretarial work,

- Co-ordinate with Investor, Investee Companies or Professionals for documentation aspect.

The said position will be reporting to the CFO directly.

Qualification :

- Top pedigree academics, LLB + CS (Company Secretary) (preferred)

Skills :

- Corporate Act & Business Laws

- Initiative and self-motivation

- Good interpersonal skills

- Ability to work under deadlines

- Excellent communication skills

Experience : 7-14 years. Experience with any VCF will be an advantage.
