JOB DESCRIPTION SUMMARY :

Job Title : AVP/VP - Company Secretary

Department : Secreterial

Area of Operation : Secreterial & Compliance

Location : Prabhadevi

Job Summary :

To lead Secretarial compliances of the Financial Services group of companies and possess expert knowledge of all Companies Act 2013, SEBI Guidelines, Listed company compliances, NBFC compliances.

Responsibilities :

- Strengthening Governance Process and Framework across the group . Build Practices to strengthen corporate governance across the group

- Ensuring timely compliances under Companies Act 2013 and SEBI guidelines for the group of business policy frameworks etc.

- Strengthen Process to ensure of group critical compliances like Loans, Investments, RPTs, IFC, RCM, and practical implementation alongwith maintaining all records. Setting right process within the company with teams to ensure all data required for compliances

Ensuring timely compliances under Companies Act 2013 and SEBI guidelines for the group of business policy frameworks etc.

- Strengthen Process to ensure of group critical compliances like Loans, Investments, RPTs, IFC, RCM, and practical implementation alongwith maintaining all records. Setting right process within the company with teams to ensure all data required for compliances

- Innovative suggestions to apply the rules/sections for the group to make business oriented secretarial function.

- Monitoring all updates on the Companies Act/SEBI guidelines & providing clarity on the same to Seniors and board members

- Understanding our company business, balance sheet, Equity Capital structuring, ESOP schemes, Various corporate finance raising instruments like Debt, preference capital, Commercial papers, hybrid instruments, Re-structuring projects like bonus, rights, etc in compliance with Company law, SEBI & RBI.

- Bring in Digitaisation in various process including meetings, Building compliance systems to track compliances

- To build / maintain effective relationships / networks of contacts with CS faternity, Industry people, Regualtors & consultants, to potentially help in achievement of work-related goals / establishing advantages.Should possess the ease & comfort in approaching key people in the organization whether internal teams or inter departmental. Should be able to build a strong network within team / across departments

Person Specifications :

Experience :

- 10 yrs plus in Secreterial Function

- Financial services industry experience preferred (i.e. - either worked previously in a company in FS sector or part of team in a reputed tax firm advising FS sector clients)

Other Skills :

- Very good understanding and technical competency of Companies Act, SEBI guidelines.

- Very good English and Communication skills
