Qualification - CS & throughout 1st division till graduation is MUST.  LISTED company exposure with some renowned manufacturing concern is MUST.  Experience- Post qualification experience should be ideally 6-9 yrs.(MUST)  LOCATION- GURGAON (Candidate should be from DELHI/NCR or from near by locations only)  Profile-Ensure performance of all Company Secretarial functions & ensure all legal and Secretarial compliance's.   - Transition from existing structure to comply with the new Companies Act. Amendment in various documents i.e. Memorandum and Articles of Association, various codes /policies, Implementation of the new Companies Act across all levels, Constitution of various committees, and adoption of new Governance norms / Compliances etc.  - Performing various functions of Secretarial Department .i.e. ensuring compliance under Companies Act and other regulations including approvals, compliances, regulatory authorities and follow up action. Drafting of Agenda/Minutes of Board and members meetings.   - Carry out various Secretarial activities for Holding & associated companies like compliances of important issues with MCA/SEBI/SEs, Communication to shareholders, Investors services, related party transactions etc.  - Ensuring best Corporate Governance practices   - Assisting seniors in vetting documents of Company meetings. Drafting of Annual Report including Directors' Report, Corporate governance Report, AGM Notice, MDA, etc.  - Maintaining good relations with regulatory authorities i.e. stock exchanges, SEBI etc. Follow up for various approvals and getting the Securities issued by the Company listed on Stock Exchanges, whenever required. Dealing with all Govt. departments viz.
