Manager - Legal - LLB/LLM - BFSI (7-10 yrs)

Compliance/Legal Due diligence for offshore funds set up or proposed to be set up by the AMC.

- Drafting and vetting of investment agreements, structured deals for primary and secondary market transactions, joint venture agreements, Share subscription & purchase agreements, etc..

- Drafting, review and periodical update in the Risk Disclosure Documents

- Compliance Due diligence with SEBI AIF Regulations pertaining to launch of new scheme. Vetting of contribution agreements, trust deeds, investment management agreements and reviewing of structuring of products. Should be fully conversant with the provisions / taxation aspect of Performance Fee distribution (Carry).

- Formation and setting up of Employee Welfare/Benefit Trust.

- Filing of returns with SEBI, as may be required.

Routine legal matters

- Drafting & vetting legal documents viz, Service Agreements, Offline Distribution agreements / Online distribution agreements / Confidentiality agreements.

- Provide support and advice in all areas of the company in legal aspects such as trade and commercial matters and corporate issues.

- Ensure agreements/ contracts are in compliance with laws.

- Maintain contact with external consultants as required

- Prepare and review of contracts, letters of agreement and other documents to ensure their legal compliance.

- Review and advise in relation to investor communication/ follow up on cases etc.

Competencies & Skills :

The incumbent should be a LL B / LL M from reputed Law College with experience of minimum 7 years to 10 years post qualifications experience in a Asset Management Company / Financial Services organisation in legal department . He should have breadth of knowledge which is highly professional in handling various legal requirements of a Mutual Fund products/ Agreements with distributors/vendors .He should have excellent communication skills (writing & Verbal)
