Manager - Corporate Secretarial & Legal  Position: 1  Qualification: CS  Experience: Post qualification minimum 4 years  Immediate Joining is preferred  Job Requirements & Descriptions:  - Well Versed with provisions of Company Act, 1956 and Companies Act, 2013.  - Entire Management of Company Secretarial Matters and ensuring compliance with provisions of Companies Act  - Advising Management and Clients on provisions of Companies Act and other economic laws  - Working knowledge of various other economic laws such as Contract Act, FEMA, Competition Act, Labour Laws etc.  - Should be able to draft, review, negotiate and finalize contracts and all types of legal documents, Shareholders Agreement, Share Purchase Agreement, Non Disclosure Agreements, Term Sheets etc.  - Keeping up to date will all related laws by research for all company secretarial matters (including new company law regimes). Researching and analyzing laws that may create risk for or otherwise affect the Company.  - Working closely on commercial and legal issues with business and other stakeholders.  - Liasioning with various Government Authorities including ROC, RD, RBI, Company Law Board, Income Tax etc.  - Be presentable and have good communication skills (spoken and written) and should be willing to work for different geography compliance functions.
