Essential: Graduate, Company Secretary
Essential Experience: 4 To 5 Years On Compliance Field
Additional Knowledge: LLB
Main Purpose Of The Job: Secretarial and Legal Compliance
Key Responsibilities Of The Job (KRA):
Responsibility Area:
- Filing various forms and returns with to obtain approvals from the RoC, Regional Director, Government Authorities and other Statutory Authorities.
- To comply with matters relating to allotment of shares, transfer of shares, split of shares, alteration of articles of association as per share purchase agreement / investment agreement, changes in directorship, increase of authorised capital, change of main object, change of name, shifting of registered office etc.
- Formation of various companies & maintenance of statutory records.
- Preparing documents related to conducting and handling board meeting, general meeting etc.
- Preparing notices, director's report, corporate governance report and minutes of all kinds of meetings.
- Coordination with internal & statutory auditors and providing information to auditors.
- Compliances Of The Companies Act, SEBI, India Trust Act, FEMA, Indian Contract Act, Stamp Act, SEBI And Other Statutory Enactments In Respect Of Various Group Companies.
Additional Responsibilities:
- Reviewing and Drafting of Letter of Indent, leave & license agreements, lease deeds, share purchase agreements, service agreements, MoU, Non Disclosure Agreements and other agreements.
- Coordinating with Developer and other Parties for compliances relating to Investment and other various Agreements.
