Need lawyers with experience in handling all employment related matters, drafting policies, implementing the new laws, familiar with POSH (Prevention of sexual harassment), data privacy, contracts etc

Divisional Overview:

The India Legal team comprises of :

Commercial Legal and Corporate Secretarial :

- This practice area relates to providing advice on and managing matters relating to commercial contracts, inter-company agreements, litigation, employment, company secretarial and day to day commercial and corporate legal support.

- It also includes advising India's domestic operations as well as supporting the legal teams in Asia, EMEA and the US by providing advice and assistance to all corporate functions including IT, HR, ESS and Facilities as well as by delivering nontran sactional legal advice to global markets and investment banking.

- The team also provides corporate secretarial support services to globally.

Transaction Legal :

- The team provides legal assistance to the Global Markets and Investment Banking divisions for India's domestic businesses and to the transaction legal teams to globally.

- The team advises and supports on matters relating to bond issuances, syndicated lending mandates, margin financing transactions, M&A advisory mandates, ISDA Master and other Industry Agreements and also drafts and negotiates prime brokerage agreements, P Note and Equity Linked Notes, and Structured Confirmations

Role & Responsibilities:

- Handling employment and labour laws matters for all the Indian entities (all being private limited companies) of including the knowledge process outsourcing entity, stock broking and merchant banking entity, primary dealership, NBFC, infrastructure advisory entities.

- Drafting and reviewing employment documentation including offer letters and employment agreements, confidentiality agreements, IP assignment agreements, non-compete and nonsolicit agreements, consultancy agreements, secondment and deputation agreements, release agreements, recruitment agreements, documentation for employee events,adherence to anti-sexual harassment regulations including running committees, ensuring relevant filings are done in time etc. etc.

- Drafting, reviewing, revising Employee Handbooks, detailed clauses on standard employment practices including in relation to vacation / leave policies, prohibition of harassment,employment benefits, non-solicitation provisions, discipline and grievance, separation, confidential information, intellectual property rights, etc.

- Advice on the applicability of various HR Laws in India including the Industrial Disputes Act,the Employees' Provident Fund Act, Trade Unions Act, Payment of Bonus Act, Payment of Gratuity Act, Contract Labour Regulations, the state-specific Shops & Establishments enactments, etc..

- Advise HR etc. on applicability of HR Laws, the obligations and compliances the reunder, and the consequences of non-compliance, issues related to provident fund contributions, payment of gratuity, payment of bonus, superannuation/retirement benefits, termination of employment,hours of work, leave/ holiday entitlement, employee health and safety regulations,discrimination and harassment issues, etc.

- Advise on structuring employee benefits and incentives, employee stock options, applicable labour laws, employment laws, clauses on confidentiality, data protection and ensuring that clauses are adequately drafted and risks are mitigated.

- Review, advise and documentation on matters relating to deputation, secondment or on employment, expatriate matters etc.

- Handling employment litigation cases including the litigation strategy, drafting and issuingt legal notices, responding to legal notices, drafting claim documents, coordinating with local counsel to pursue litigation in the appropriate courts across India

- Responsible to ensure adherence to data privacy requirements including creation of policies,ensuring consents, adherence to data protection requirements in other jurisdictions for the work done by the Powai team for the regions etc.

- Working with the regional employment legal teams on global projects where applicable

- Lawyer with minimum 6-8 years with specific experience in employment legal matters including dealing with data privacy, anti-sexual harassment regulations

- Ability to work in Cross Functional teams, across multiple locations & cultures

- Sound experience in handling litigations, dispute resolutions, contentious issues

- Demonstrated ability to manage multiple tasks under tight timelines

- Strong strategic thinking ability

- Self-motivated, initiative, and positive personality

- Strong written and verbal skills

- Highly energetic and have ability to energize others

- Effective communicator and team player, excellent problem solving, conflict resolution skills

- Capability of thinking 'Outside The Box' with a view to improve processes
