Role Summary
Deal with all legal matters relating to property lease, franchising / agency agreement litigation, and other legal affairs pan India
Key Job Responsibilities
Property Lease:
- Carryout legal due diligence directly and wherever required or through close co-ordination with external counsel
- Assessment, advisory, mitigation of legal risks associated with company's business for each location
- Work closely with the Business development team in preparing LOI, lease/ license agreements, Common Area Maintenance Agreement, Utility Agreement etc in connection with retail spaces
- Updating leasing status in weekly review and meeting agreed timelines religious
- Independently prepare and conclude lease agreements and lease deeds in close co-ordination with the developers
- Understand the impact of stamp duty and registration of lease documents
- Ensure timely registration of lease agreement
- Ensure timely renewal of lease agreements
- Handling effective termination of Lease and store closure on need basis
- Advisory and consultancy to company & other internal customers for compliance of local and municipal laws.
Franchisee & Agency Agreements :
- Carryout legal due diligence directly and wherever required or through close co-ordination with external counsel for Franchisee/Consignment Agency Stores
- Drafting, vetting of Lease, Licenses for and related agreement for Franchisee/ Consignment Agency stores
- Drafting and vetting Franchisee/ Consignment Agency & related agreements, in co-ordinate with all internal and external stakeholders and ensure adherence to Company's policies, risk analysis and mitigation process
Litigation:
- Work with external legal counsel with regard to company litigation
- Provide brief to the counsel and discuss the case matters
- Develop and maintain good working relationship with external legal counsel
- Review documentation relating to plaints, written statements, objections, writ petitions and appeals and take required actions
- Appear before the courts to give evidence, sworn statements etc.
- Responsible for initiating suitable legal recourse for recovery of Advance & Security deposit in consultation with the Management
Intellectual Property Rights:
- Protect IP of the organization by registration of IP
- Provide support in initiating infringement action suo moto and as per requests from the teams
Other Legal Responsibilities:
- Independently review and finalise all business related agreements, contracts and documents as per promised timelines and norms
- Closely coordinate with the vendors in finalization of company contracts
- Prepare and provide letters of authorization, powers of attorney whenever required
- Work closely with internal customers for a general understanding of the business and provide appropriate legal support
- Help establish a process driven approach in the department and improve the existing processes
- Manage legal documentation
- Create and manage an effective MIS
- Closely work with trade mark attorneys in registration, defense of opposition and infringement cases
- Responsible for docketing Original Lease, License, Franchisee, Agency Agreement, Bank Guarantee, opinion and title related documents
Subject knowledge:
- Good understanding of relevant laws such as contract law, property laws, municipal laws, labour laws, stamp and registration laws
