Legal Role - M&A - IT (4-10 yrs)
Position: Legal (M&A) Roles (Leading IT Company)
Role & Responsibilities:
- There are Senior, Middle and Junior level Legal roles in the M&A area
- Should have 4-10 yrs of legal experinece in end-to-end merger and acquisition especially related to US acquisitions, including:
- Drafting and negotiating LOI, acquisition agreements (stock purchase agreements, mergers, asset purchases and sales), and related ancillary documents
- Managing, conducting, and integrating a due diligence effort for an acquisition
- Coordinating the transaction for signing and closing, while working on the transaction documents
- Expertise in U.S. acquisitions a must. Experience in acquisitions in other jurisdictions preferred
- Ability to work with a large team and coordinate input from various departments (Financing, operations, HR) and outside counsel when needed is essential
- General corporate experience, including drafting of board minutes and consents for approvals of transactions and for understanding the corporate due diligence
- Commercial contracting experience for software companies and skills with general commercial contract work
- Understanding of capitalization tables, stock, debt, and options
- Understanding of U.S. employment law
