Job Type: Legal (Non-Litigation) Head and Company Secretary  Must : LLB + CS degree.  Job Description :  - Handled drafting of agreements related to Mergers and Acquisitions interacting with Government departments for execution of merger and acquisition transactions for atleast 2 years  - Review, analyzes RFIs, RFPs, RFQs and project customer terms & conditions.- Review various RFP/ tender/bid documents issued by Govt./ Semi Govt. PSU organizations and extract legal & financial risk areas in consultation with Finance and Business/Sales team;; Preparation of Risk/Liability Matrix and Legal risk profiling; legal & financial risk analysis, deviation approvals etc.  - Liaise with sales team and BU heads and provide frontline support for contract negotiations, respond to complex inquiries regarding existing contract obligations and revisions, identify risks and issues, with a solution oriented approach towards closure of transactions.  - Providing commercial support for sales of software products and IT services including primary responsibility for drafting, negotiating, vetting and coordinating customer facing agreements, including large master agreements with enterprise customers, software development & Licensing agreement, software subscription agreements, teaming and partnering agreements, Technology Licensing, Hosting Services Agreement, Technology Partnership Agreements, NDAs, Consulting Agreements, Data Transfer Agreements.; Vendor Contracts: license purchase, HR consulting agreements, Marketing/ Advertising agreements; Addendum documents including Amendments, Purchase Orders (POs), SOW, Change Orders, Change in Scope and Work Orders  - Drafting large volumes of leave & License agreements  - Conducting various statutory meetings including .i.e. Board of director meetings, Committee meetings & Shareholder meetings and compliance related Stock Exchange. Drafting minutes, filing of secretarial forms, managerial remuneration, secretarial audits as required under the Companies Act and active participation in secretarial due diligences.  Qualification :   - LL.B is a must- CS degree is optional, certificate in Intellectual property right optional  - At least 9 years of PQE with a proven track record in contract negotiation and drafting  - Excellent relationship management and communication skills necessary for interaction with the Government Departments, Ministries and Clients  - Demonstrate knowledge of, and experience in dealing with government and/or commercial contract administration, particularly contract negotiation, preparation and administration
